Summary
Duke Realty will attend the February 12 meeting to provide an update on its West End
development proposal that includes six acres located in Golden Valley. At a January 29
Neighborhood Meeting on Traffic Calming the discussion extended beyond the proposed
traffic calming improvements on the Wayzata Frontage Road east of Hwy. 100. The main
concern about the project was the large parking deck located largely in Golden Valley. Some
neighbors suggested that the west side parking deck exits should be eliminated or reduced in
number. They questioned how they could present their concerns to the City Council.
For a number of years Golden Valley has contemplated entering into a Joint Powers
Agreement (JPA) with the City of St. Louis Park that would consolidate jurisdictional authority
for the total project (including land in Golden Valley and St. Louis Park) with the City of St.
Louis Park. Planning approvals would be one of the areas turned over to St. Louis Park. At
the Council direction, staff has worked to identify planning issues that could be specifically
addressed in the Joint Powers Agreement prior to its execution. Staff has been working on
identifying traffic-calming improvements for the Wayzata Frontage Road and resolving
questions related to the provision of sanitary sewer facilities, with the aim of inserting
planning parameters related to these issues in the JPA.
The last draft of the Joint Powers Agreement is attached. It anticipated resolving the sanitary
sewer and traffic issues and identifying a site plan for the office portion of the project, forty
percent of which is in Golden Valley. Two site plans were developed for the purposes of the
JPA, one with four and another with three office buildings. The JPA as drafted provides that
the project would be developed in conformance with one of these site plans unless revisited
and approved by the cities. Both plans anticipated a large parking deck (estimated 4000
spaces) that would be constructed principally on the Golden Valley portion of the project. The
deck has six entrance/exit points, two to the west off of Utica Avenue South, and four to the
north and east off of the Wayzata Frontage Road. At the recent neighborhood meeting, Pat
Mascia of Duke Realty reported that one of the easterly exit points has been removed. Staff
will try to clarify this issue before the meeting.
The specific inquiry from neighborhood residents is how they can influence the entrance/exit
locations to the parking deck. Staff would like direction on whether and how the Council might
like to interact with the neighbors. A few options are:
1. Hold a listening meeting with neighborhood residents to hear directly about their
concerns. Determine if the concerns can be dealt with through revisions to the site
plan to be attached to the Joint Powers Agreement.
2. Resolve to retain planning authority for the site and consider neighborhood concerns
through a Golden Valley planning process. Because the deck currently straddles
municipal boundaries this option would still require some sort of agreement with St.
Louis Park, or redesign of the parking deck to be completely within Golden Valley.
Duke has alternately suggested that it would redesign the parking to be under the
buildings, taking the project completely out of Golden Valley. This approach may
reduce the amount of influence Golden Valley has related to the traffic and sewer
issues.
3. Alternately the Council could have a listening meeting with neighborhood residents
and decide on an approach (Joint Powers Agreement, Golden Valley planning
process, or other) after learning more about neighborhood concerns.

JOINT POWERS AGREEMENT
AGREEMENT made this _ day of ,2007, by and between the CITY
OF ST. LOUIS PARK, a Minnesota municipal corporation ("St. Louis Park"), and the CITY
OF GOLDEN V ALLEY, a Minnesota municipal corporation ("Golden Valley").
RECITALS
A. Minn. Stat. S 471.59 et seq. authorizes cities to enter into joint powers
agreements.
B. Highways 1-394 and T.R 100 functionally isolate approximately six (6) acres
within Golden Valley from the remainder of the City of Golden Valley. This property is
legally described on the attached Exhibit "A" ("Subject Property").
C. The Subject Property ~sently)s occupied by small office buildings, parking lots
and roads.
D. The owner of the Subject Property intends to redevelop the Subject Property as
part of one project which includes approximately nine (9) acres of adjoining property in
St. Louis Park under common ownership (the "Project"). This nine (9) acre property is
legally described on the attached Exhibit "B" ("St. Louis Park Property"). The
development conceptconcepts for the Project isnrovide for office use in either three
building or four building configurations as depicted on Exhibit "c" ("Concept Plan").
E. The parties desire to achieve efficiency in development approval, on-going land
use regulations, general police power, property tax administration and in providing City
services to the Subject Property.
NOW, THEREFORE, IN CONSIDERATION OF THEIR MUTUAL
COVENANTS, THE PARTIES AGREE AS FOLLOWS:
1. LAND USE CONTROLS
A. St. Louis Park and Golden Valley hereby apnrove the Conceot Plan deoicted on
Exhibit C which nrovides for office use in a three building or four building configuration. To the
extent that the nrooertv owner constructs the proiect _ in accordance with the Conceot Plan. no
further aonroval will be_reauired bvthe City of Golden Valley. .. However. if the landowner:

B. To the extent provided in this Paragraph 1, St. Louis Park will adopt, administer
and enforce all "official controls" as the term is defined in Minn. Stat. S 462.352, Subd. 15
(2000) for the Subject Property to the same extent as if the Subject Property was within its
corporate limits. including, but not limited to. submission to the 1-394 traffic manaQement Joint
Task Force according: to the terms of the ordinance. Such official controls are intended to be
exercised in such a manner as to extend to the Subject Property the same comprehensive plan
designation and official controls as are applicable to the St. Louis Park Property. 16th Street will
not be extended directly easterly from Utica Avenue through the Subject Property and the St.
Louis Park Property without prior approval of Golden Valley and St. Louis Park in the form of
an amendment to this Agreement. Nothing in this Agreement or the Concept Plan, however,
shall be construed to be a limitation on St. Louis Park's other regulatory authority in its
application of official controls to the Project, including without limitation matters with respect to
traffic congestion attributable to the Project.
BC. St. Louis Park shall administer and enforce official controls, including without
limitation environmental review, zoning, and subdivision controls, for the Project and all new
buildings and land uses within the Subject Property. Until such time as St. Louis Park has issued
a building permit for a new building within the Subject Property, Golden Valley shall administer
and enforce all official controls for existing buildings and land uses within the Subject Property.
Thereafter, St. Louis Park shall administer and enforce its official controls for all existing and
new buildings and land uses within the Subject Property.
GD. If within seven (7) years from the date of this Agreement St. Louis Park has not
granted final approval for planned unit development for the Project substantially consistent with
the Concept Plan, then this Agreement shall automatically terminate with no further action
required by either party. If a complete planned unit development application has been submitted
to and is under consideration by St. Louis Park, this seven (7) year period shall toll until such
time as the City Council takes final action on the pending application. St. Louis Park shall notify
Golden Valley when/if it has approved the planned unit development for the Project. Nothing
herein shall be interpreted to prevent the owner of the Subject Property or of the St. Louis Park
Property to seek amendments to the Concept Plan for the Project.
2. ENVIRONMENTAL REGULATIONS. St. Louis Park will conduct all
environmental reviews and enforce environmental laws relating to the Subject Property with
respect to the Project and following its approval to the same extent as if the Subject Property was
within its corporate limits. St. Louis Park will be the Local Governmental Unit (LGU) for
purposes of administration of the Wetland Conservation Act (WCA), Minn. Stat., 103G et seq.,
and Responsible Government Unit (RGU) for purposes of environmental review pursuant to
Minn. Stat. 116D.Ol, et seq.
3. GENERAL ORDINANCES. At such time as St. Louis Park issues a building
permit for a new building within the Subject Property, St. Louis Park will exercise on behalf of

Golden Valley their common powers to adopt and enforce general ~police power ordinances
within the Subject Property to the same kind and extent it applies its general fK.:Hieypolice power
ordinances within the City of St. Louis Park. Until such time, the Subject Property shall be
subject to municipal authority relating to general police power in the same manner and to the
same extent as presently exists.
4. PUBLIC SAFETY. At such time as St. Louis Park issues a building permit for a
new building within the Subject Property, St. Louis Park will provide police services and enforce
all criminal statutes and St. Louis Park City Ordinances within the Subject Property to the same
kind and extent it provides such overall services and enforcement within the City of St. Louis
Park. Until such time, the Subject Property shall be subject to municipal authority and services
relating to public safety in the same manner and to the same extent as presently exists.
5. FIRE PROTECTION. At such time as St. Louis Park issues a building permit
for a new building within the Subject Property, St. Louis Park will provide fire inspection and
protection services for the Subject Property to the same kind and extent it provides such overall
services within the City of St. Louis Park. Until such time, the Subject Property shall be subject
to municipal authority and services relating to fire protection in the same manner and to the same
extent as presently exists.
6. PUBLIC UTILITIES AND REDEVELOPMENT. AtSublect to the orovisions
of oarallraoh I.A. hereof, at such time as St. Louis Park issues a building permit for a new
building within the Subject Property, St. Louis Park will provide sanitary sewer, storm sewer,
water and other available public utilities to the Subject Property and collect fees and user
chargers for all such utility services. St. Louis Park may undertake redevelopment activities
pursuant to Minn. Stat. Chapter 469, install public improvements, issue bonds pursuant to Minn.
Stat. Chapter 475, and levy special assessments pursuant to Minn. Stat. Chapter 429, impose
charges pursuant to Minn. S tat. Chapter 1/11, and utilize other financing sources and authorities
common to Golden Valley and St. Louis Park, including \vithout limitation, to the extent
availr,ble, tax increment financing Of- tax abatement.429. Sanitary sewer and/or water may be
provided by Golden Valley pursuant to further agreement of the parties. Until such time, the
Subject Property shall be subject to municipal authority with respect to public utilities and
redevelopment as described in this paragraph in the same manner and to the same extent as
presently exists. If after approval of the Project, pursuant to its official controls, 8t. Louis Park
elects to utilize, to the cxtont available, tax increment financing, tax abatement or similar or
successor redevelopment financing or assistance methods to facilitate redevelopment of the

7. BUSINESS AND LIQUOR LICENSES. AtSubiect to the orovisions of
oarallraoh 1.A. hereof. at such time as St. Louis Park issues a building permit for a new building
within the Subject Property, St. Louis Park's business and liquor licensing regulations will apply
to the Subject Property and shall be enforced within the Subject Property by St. Louis Park.
Until such time, the Subject Property shall be subject to municipal authority relating to business
and liquor licensing regulations in the same manner and to the same extent as presently exists.
8. NO RETAINED AUTHORITY. AtSublect to the provisions of oarallraoh 1.A.

Subject Property, Golden Valley hereby grants to the City of St. Louis Park all of the municipal

powers Golden Valley has with respect to the Subject Property, except for the power to levy and
collect property taxes pursuant to this Agreement. Until such time, Golden Valley shall have
retained such municipal powers except to the extent provided in Paragraphs 1 and 2.
9. FEES. All license fees, permit fees, inspection fees, development fees, special
assessments, connection charges, storm water utility fees and the like collected from the Subject
Property will be retained by St. Louis Park, unless Golden Valley provides certain services in
which instance the payments shall be directed to Golden Valley.
10. PROPERTY TAXES. The tax capacity of~ and the pO\ver to levy on and collect

in this Ag:reement. it is reasonable. equitable and lawful to establish the market value for the
entire Project as a whole over all 15 acres within the Project and allocate the gross tax canacity
for the lot or lots on the Subject Pronertv as twenty oereent (20%) to Golden Valley and eiQhtv
percent (80%) to St. Louis Park while any tax increment district for the St. Louis Park Prooertv
is in force and effect but, after such district's termination or exoiration. the tax eaoacitv of the
Subject Prooertv and the St. Louis Park Prooertv governed this AQreement shall be based on the
amount of land contributed to the Project as a whole from the Subject Prooertv and the St. Louis
Park Pronertv. The fee owner of the Subject Prooertv and St. Louis Park Prooertv as well as
Golden Vallev and St. Louis Park alIree that since this Project will be used as a whole. it is only
reasonable, equitable and lawful to divide the taxes according to the terms of this AlIfeement.
Unless otherwise aQreed in writing by the owner or owners of the Subiect Prooertv and
the St. Louis Park Property alonQ with Golden Vallev and St. Louis Park. the terms and
orovisions of this Section 10 are intended and shall bind all future owners of the Subiect Pronertv
and St. Louis Park Pronertv. run with the land and survive the termination of this AlIreement
prior to its exoiration date as set forth in Section 12 hereof for any cause or reason.
11. ANNEXATION. Nothing herein precludes the owner(s) of the Subject Property
from exercising rights under Minn. Stat. Ch. 414 or successor statute relating to municipal
boundary adjustments; provided, however, that neither the fact of this Agreement, any facts or
circumstances created by it, nor the altered governmental relationships created by it with respect
to the Subject Property shall be used as grounds for, or to support, any annexation or detachment
concerning the Subject Property.
12. TERM. This Agreement shall be an initial term of sixty (60) years, commencing
on . with automatic ten (10) year renewals thereafter
unless a written cancellation notice is received by either party on or before two (2) years prior to
the end of any given renewal term. This Agreement shall also terminate at any time upon the
Subject Property being detached from Golden Valley and annexed into the City of 8t. Louis

13. AMENDMENTS. This Agreement may be amended at any time by agreement
of the parties; provided, however, that, unless waived, the owner(s) of the Subject Property shall
have received three (3) months advance written notice of the proposed amendment prior to the
presentation of the proposed amendment to the governing bodies of each of Golden Valley and
St. Louis Park. For purposes of the address for notice(s) to the owner(s) of the Subject Property,
the Cities shall use the addresses available through then-current property tax records.
14. NOTICES. Any notice required hereunder shall be hand delivered or by certified
mail at the following addresses unless the other party is given notice of a change of address by
certified mail:

Wayzata Traffic Calming Strategies
Neighborhood Meeting was held on January 29 to review proposed traffic calming strategies
related to the proposed Duke Realty West End project in the southwest quadrant of 1-394 and
Hwy 100. Approximately 50 neighborhood folks attended along with staff from the developer,
St. Louis Park and Golden Valley and Council Member Scanlon. The meeting extended from
approximately 6:30 to 8:30 pm. In addition to comments on the proposed traffic calming
citizens inquired about the process for planning approval for the project.
Attached is a summary of neighborhood comments and responses provided at the meeting.
Mike Kotila of SEH presented the information and responded to most of the comments.
However staff from Golden Valley and St. Louis Park also responded as well as
representatives of Duke.

Apply For Permit And Schedule Inspection
You may submit your application and pay your fee by check via mail or in person at the Public Works Department in
City Hall. You may also submit applications online and pay the fee by credit card. The application fee for single-family
residential properties is $200, which covers up to two inspections. There could be a fee for additional inspections.
After submitting your application, contact Public Works at 763-593-8030 between 8 am and 4:30 pm, Monday
through Friday, to schedule an 1/1 inspection with at least 24 hours notice. If you applied online, you will need to
provide your permit number.
Inspection Performed
An adult must be present during the inspection. Clear a five-foot area around the vertical stack sewer clean out to
give the inspector plenty of room to work. (For a complete list of steps to take to prepare for your inspection, visit
www.cLgolden-valley.mn.us.) The inspector will televise your sanitary sewer service out to the City sewer main,
check your sump pump discharge system, and check your roof drains/leaders.

The letter also informs the property owner the footage location of all defects, the
final cleanout in the home (iflateral has a final cleanout), any additional
cleanouts, and location of 4" to 6" transition and total length of lateral from where
the inspection began.

The following defects and conditions are considered during the review of sanitary sewer
service videos for compliance with City Code regarding inflow and infiltration.
1) Root Intrusion- minor root intrusion such as hair line roots are compliant, major
root intrusion such as heavy root mass or roots expanding pipe cracks are non-
compliant and require repair.
2) Mineral Deposits- mineral deposits are direct evidence of infiltration and are
non-compliant.
3) Pipe Cracks - minor pipe cracks such as hair line cracks are compliant, major
cracks that show visible signs of separation are non-compliant.
4) Pipe Joints - pipe joints in good visible condition are compliant, deteriorated
pipe joints that show visible signs of separation and or the gasket is rolled or
protruding into the pipe are noted as non-compliant. Off set pipe joints that either
show visible signs of separation and/or obstruct flow enough as to allow for
infiltration through the off set pipe joint are non-compliant.
5) Crushed PipelMissing Pipe - areas of crushed pipe and/or missing pipe are non-
compliant.
6) Sags - all sags in sewer lateral are compliant from an inflow and infiltration
perspective. Sags are areas of the pipe where the grade of the pipe holds grey
water from flowing properly and are not a direct source of infiltration. These sags
may result in sewage backups into the structure and should be addressed by the
property owner.
7) All Connections (drain tile roof leaders) and or Cleanouts - connections are
verified by flowing water from the source i.e. sinks, drains, wash and bath tubs in
order to confirm connection to domestic source, if connected to domestic source
the connection is compliant. Cleanouts must be opened and inspected in order to
verify condition/integrity of pipe and verify any connections in order to be
compliant, cleanout stacks occasionally have drain tile connections and cracks
that are non-compliant.
8) 4" to 6" Transition - transitions are most commonly located at the property line,
and the transition location is noted on the correction notice, if the transition has
root intrusion, it is non-compliant unless the roots are hair line or minor.
9) Wye Connection- connection located at the end of the sewer lateral at the
municipal sewer main. The connection is inspected for any major defects such as.
cracks, roots, mineral deposits, crushed or missing pipe, noted defects follow the
guide lines listed above, this connection is the responsibility of the propertymowner.
10) Other Issues - issues or concerns that can be visibly seen in the inspection that
cause infiltration or exfiltration that are not specifically discussed above.

The City of Golden Valley recently performed a closed-circuit television
inspection of the sanitary sewer service. Following the televised inspection of the
sewer lateral, staff reviewed the noted defects in the lateral as a source of
infiltration during spring thaw and summer rain events. The review of the
inspection determined that the sewer service at your home is not in compliance
with City Code. In order to receive a certificate of compliance the pipe joint
defects and or root intrusions at 2.5-feet, from 26-feet through 34-feet, and from
62-feet to 97-feet will require repair. The final cleanout is at 22-feet and the 4-
inch to 6-inch transition is at 65-feet. The total length of your service from the
point that televising began is 97 -feet. These defects will require repair. followed
by another televised inspection in order to receive a Certificate of Compliance.
All repairs require a permit from the City of Golden Valley Inspections
Department. Please contact them at 763.593.8090 regarding this permit.
Therefore. we recommend that YOU DaTiicioate in the SanitaN Sewer Service
ReDalr Proaram that is included in the 2008 Pavement Mansoement Program.
Participation' in this program will allow you to correct these structural issues
under a contract with the City and have the costs of the improvements specially
assessed to your property. A fact sheet describing the program is enclosed for
your reference.
As an alternative to participating in the City program, you may choose to hire
your own plumbing contractor to correct the structural issues with the service, or
you may choose not to address the issue. Should you choose to hire your own
contractor, this work must be completed prior to the start of construction (May 1,
2008) for the 2008 PMP project. If you choose to not repair your sanitary sewer
service, you will not be able to cut into the City streets for a period of five years
following completion of the street reconstruction.

III Compliance Inspections:
Choosing A Repair Method
Based on the conditions at your home (landscaping,
retaining walls, and the cost to repair the street), you
will need to decide whether it is more cost effective
to repair your sewer service by having a contractor
dig an open trench or use an approved alternative
method. While some homeowners prefer sewer lining
as an alternative to open trench, the City provides no
assurances for choosing one method over the other.
Plumbing contractors may obtain a sewer per-
mit from the City if they hold a Minnesota Master
Plumber License and a $25,000 State Bond from the
Minnesota Department of Labor and Industry, or if
they hold a Pipelayer's Card and a $25,000 Unlicensed
Contractor Bond from the Minnesota Department of
Labor and Industry. In addition, all contractors must
provide a Certificate of Insurance showing evidence of
liability insurance and worker's compensation cover-
age (if there are employees). The City's Inspections
Department has a list (many pages long) of contrac-
tors who have met these criteria.
Alternative Repair Methods
If the City approves use of an alternative sewer repair method, the following contractors have been certified by
the materials manufacturers to do sewer lining and have submitted the appropriate documentation to the City:

from the program, delaying construction of Zane and Lindsay, and with a number of
properties declining participation in the inspection program, the database reflects a total of
230 participating properties. The following is a summary of the findings as of January 7,

Dear Mayor Loomis and Council Members of the City of Golden Valley,
Accessible Space, Inc. is proposing the rehab of 2000 Mary Hills Drive in Golden Valley. The building
includes 5 single room occupancy units for very low income persons with disabilities. It was built in 1980.
At that time, Courage Center was the owner of the project. Accessible Space acquired the project in
1993. The building is long over due for some major repairs and I am underwriting a Hennepin County
HOME funds application to raise money for these repairs. The repairs to the building would make it more
enjoyable for the residents and preserve an affordable and accessible housing alternative in the Golden
Valley community for economically and physically disadvantaged people. The restoration to the building
would also give the property better curb appeal. Your support is crucial to making this rehab project a
possibility! My grant application is due by February 21st. If all of you could be so kind as to help me with
