CALL TO ORDER AND INTRODUCTIONS
The Tri-City Council meeting convened at 6:02 p.m. on Tuesday, March 31, 2015 in the Council
Chambers at the City of Golden Valley City Hall, 7800 Golden Valley, Minnesota. Golden Valley Mayor
Shep Harris called the meeting to order and opened with introductions.

36-INCH WATERMAIN EMERGENCY REPAIR PROJECT
Bolton & Menk discussed the methods and holistic approach to the emergency repair of the 36-inch
watermain. Rehabilitation of the line will be done in segments and coordinated with Hennepin County
and its County Road 9 project and the connection with the City of Minneapolis system.To minimize
disruption of service and less above-ground surface disturbance, Bolton & Menk is recommending a
loose-fit siip lining for the majority of the repair. There is a portion where the jack and bore method will
be necessary located on County Road 81 where the Burlington Northern San Francisco Railroad line and
future Bottineau LRT line is located and allow for future utility improvements for the Bottineau project,
The portion of the rehabilitation project that connects to the water source in Minneapolis needs to be
done before May 15 or after October 15 as required by the City of Minneapolis. Bolton & Menk projects
this portion of the work will be completed before May 15 deadline.
Substantial project completion is August 15, with final completion scheduled for September 21.
Proiect Cost
The estimate for the portion of the project for Minneapolis connection is $248,225. Because this portion
of the project has a tight completion deadline and in order to meet the completion date of the entire
project, bids for this connection have been published. The bids will be presented to the JWC for
approval and award at its next meeting.The remaining portion of the replacement/repair of the 36-inch
watermain is conservatively estimated to be $5,428,038 with an estimated total project cost to be
$5,676,263. This does not include any costs to repair the Robbinsdale watermain. The estimated project
cost breakdown of the three cities will be: Golden Valley-43%, Crystal-27%, and New Hope-30%.
Golden Valley Mayor Harris added there is legislation pending where bonding dollars up to $7 million
have been requested to potentially help pay for this work, including repairs to the Robbinsdale line.
Mayor Harris and Golden Valley Council Member Snope will continue to be in contact with state
legislators and should know the outcome in about a month. Robbinsdale Public Works Director Richard
McCoy has been involved in the discussions regarding the 36-inch repair because the JWC is aware of
issues in the Robbinsdale line and wanted to coordinate any efforts if possible. After initial discussions
with the City of Robbinsdale, they have indicated they are not ready to make those repairs at this time;
however, the JWC must proceed with rehabilitation of the 36-inch line to continue service to its
customers this year.
The time constraints involved in getting the portion of the repair completed on the Minneapolis
connection necessitate the JWC to move ahead before the outcome of the bond bill is known.
Any delays from a logistic standpoint, would result in delays in bringing the line back into service.
Currently, the water line will be out of service during the summer.
The emergency water supply wells is the backup water supply plan for the JWC. As a backup to the
emergency backup supply plan, the JWC is looking at an interconnect with surrounding cities (Brooklyn
Park and Robbinsdale's watermain) and the JWC currently has one connection to St. Louis Park. If there
is a power outage, we have an emergency backup generator as emergency backup operation and that is
monitored with a SCADA system. The Crystal reservoir has about 3 to 4 days backup water supply giving
time to handle a short-term emergency situation with the distribution system. The system is currently
set up to pump out of the Crystal reservoir during the day and do a water exchange during the evening
to keep the water pressure steady.

The JWC is looking to evaluating the entire system to examine the condition and identify repairs that
may be necessary. It would be advantageous to rehabilitate the line from end to end.
Draft Resolution Supportin� Makin� Improvements to the 36-Inch Watermain
Each city agreed it is imperative to move ahead with the emergency repair/replacement of the 36-inch
watermain for service to the JWC. They will present the resolution at respective city council sessions for
approval and each city will be responsible for their share of the cost.
Communication and Conservation Plan
Staff involved in developing the communications plan consisted of communications staff and the 1WC
Technical Advisory Committee (TAC) from the three cities.
The communications in terms of typicai construction impacts are routine in nature. Unique to this
project is the education and awareness piece relative to water supply impacts and potential for
implementing conservation efforts. The goal of this appropriate communication plan is to get
communication out to the public ahead of an emergency and have plans for communications in the
event of emergencies. The reason the JWC is doing the communication plan is because of the break
history of the 36-inch line. Want to have more control over the communication rather than reactionary
emergency situations.
Three components will be included in the communications plan: project planning (happening in advance
of the project), project construction (occurring during construction), and emergency project
communications (dispatched in the event of a specific emergency).
The focus group for the communication will largely be the affected property owners and those on the
project corridar. Project planning will communicate upfront the project schedules, overall project
parameters, road ciosures, and other typical inconveniences due to the project, go-to people to contact.
Advanced communications for project planning will include communication to the general overall
customer population that the JWC serves. Educating them to what and how the system is working and
what takes place to deliver water to their homes, introduce temporary water reduction due to the
project or naturally.
Project construction communications will be regular communications (approximately weekly depending
on project progress and access). Will be daily informal communications occurring on a daily basis.
Emergency project communications are related to possible water supply shortage. These are
communications plans prepared in advance but will not be dispatched on an as-needed basis. Bolton &
Menk has identified scenarios that could potentially cause a water shortage.Throughout the project,
there will be a continuous monitoring of the water system.
Hennepin County will be also working in this area and property owners will not differentiate the
difference and we want to work together to coordinate communication efforts.
The overall specifics are still being developed. Project updates for websites, media and social media
releases, and potential blog. This will go through city managers and public works staff.
Stage 1 witl be educating with press releases and create talking points to communicate to property
owners. If Stage 2 is necessary which will be a partial watering ban (during 11 am to 6 pm) and getting
that communicated with another set of talking points. Stage 3 would be major pipe or pump failure that

would push inta a full watering ban and conservation of use. Already met with fire and public safety
departments of the cities to gather information in creating the talking points and plan of communication
if Stage 3 is necessary to implement. If a drought were to happen, a watering ban would be necessary to
conserve the water and keep the drawdown to a minimum during the project construction. Maybe
present to the property owners to ask them to think about their water use during the construction
project. Educating them about the advantages and disadvantages of when to water as well.The ban
would be communicated to property owners in all three cities and not just the properties within the
construction corridor.
The point person for communication on the project will be decided with the review of the
communication plan.
NEXT STEPS
JWC Distribution Svstem Stud�
The 1WC distribution system consists of about 21 miles of pipe larger than 12 inches in diameter.This
system takes water from the JWC reservoirs and water towers out to the three cities' systems. The
majority of the distribution system owned by the JWC is the 36-inch PCCP pipe.The TAC is
recommending an analysis of the 21 miles of pipe be completed to identify liabilities and what will need
to be done to address those liabilities. They are recommending the study be done in coincide with the
Douglas Drive rehabilitation project so that forensic testing on the pipe if necessary and get better feel
for what facing system wide. Begin talking scope of services soon including discussions with consulting
firms that do this type of analysis. Anticipate recommend to the JWC in the fall and winter 2015, The
study will be ongoing in 2016 and completed in late 2016, early 2017.The study does not have a defined
scope so no costs can be determined yet.
Mayor Harris requested a map of the distribution system be sent out to the member cities and included
on the JWC website, www.jwcontap.org.
OTHER BUSINESS
Operations durin�Construction
The emergency wells can only be used those as a last resort. As long as there is water in the reservoir,
the JWC cannot access the wells. If a partial or complete ban is implemented, can the State offer any
assistance. If the wells are used, the conservation ban wauld be strict. That is the worst-case scenario.
Not anticipating that.
Discussion of Third Well
The third well has not been built in Go�den Valley for the reason we don't want to take the Golden
Valley reservoir out of service due to a generator that needs to be moved. With the work needed to
repair the emergency repair/replacement of the PCP pipe. Recommending delay of construction of the
Golden Valley well at this time.The two wells and New Hope well currently are out-producing the
anticipated amount and staff is confident those wells could provide a sufficient supply in the event of an
emergency. If the production rate should change in the near future, re-examining the construction af
the Golden Valley well sooner than anticipated will be discussed.
Redistribute those funds to offset the construction costs needed for the 36 inch pccp. Recommending
delaying construction for 3 to 5 years.The contract for the wells may need to be amended if that is
recommended by the city attorney.

Subject: Bolton & Menk, Inc. Agreement for Professional Services
In December of 2014, the Joint Water Commission approved a Letter of Understanding with
Bolton & Menk, Inc. for preliminary engineering services on rehabilitation of the 36-inch PCCP
line through Robbinsdale. Bolton & Menk (BMI) has prepared a new agreement which covers
design and bid services as well as construction services associated with the remainder of the 36-
inch PCCP rehabilitation project.
This agreement shows the costs associated with each portion of the project and is broken down
into hourly estimates for design and construction and a total cost for the whole project. The
majority of the project design is completed and construction is scheduled to start at the end of
April on the Minneapolis end of the project. The rest of the project is scheduled to take place in
the summer of 2015. Additional professional services will be required on top of what is proposed
in this agreement. The proposal was received prior to the change in project schedule and more
design will be required into the month of May to better coordinate with existing utilities along
the County Road 9 corridor.
Recommended Action
Approve the Agreement for Professional Services with Bolton & Menk, Inc. for design, bid, and
construction services (Tasks 1, 2, and 3) on the Joint Water Commission 36-inch PCCP
Rehabilitation project in Robbinsdale not to exceed $512,800.

AGREEMENT FOR PROFESSIONAL SERVICES
JOINT WATER COMMISSION, MINNESOTA
and
BOLTON & MENK, INC.
(ENGINEERING SERVICES FOR THE DESIGN AND CONSTRUCTION OF
REPAIR/REPLACEMENT OF THE 36" PCCP LINE- JWC)
This Agreement, made this day of , 20 , by and between JOINT
WATER COMMISSION, 7800 Golden Valley Road, Golden Valley, MN 55427-4588, hereinafter
referred to as JWC, and BOLTON & MENK, INC., 1960 Premier Drive, Mankato Minnesota,
hereinafter referred to as CONTRACTOR.
SECTION I —CONTRACTOR'S SERVICES
A. The CONTRACTOR shall undertake the work described in the attached documents, listed
below, which are incorporated herein by reference, and in the indicated Exhibits.
1. Exhibit I — Project Issues Map
2. Exhibit II — Fee Proposals
II.A. Letter of Understanding (12/3/14) — Identifies the Task 1 "Upfront
Engineering Costs" including:
o Preliminary Design and Technical Memorandum
o Surveying Costs
II.B. Detailed Cost Estimate for Tasks 2 & 3 — Identifies Task 2 "Design
and Bid Services" and Task 3 "Construction Services"

B. Upon mutual agreement of the parties, Additional Services may be authorized as
described in Paragraph IV.B.
SECTION II -THE JWC'S RESPONSIBILITIES
A. The JWC shall promptly compensate the CONTRACTOR in accordance with Section III of
this Agreement.
B. The JWC will give prompt notice to the CONTRACTOR whenever the JWC observes or
otherwise becomes aware of any defect in the project.

C. The JWC shall designate a liaison person to act as the JWC'S representative with respect
to services to be rendered under this Agreement. Said representative shall have the
authority to transmit instructions, receive instructions, receive information, interpret and
define the JWC'S policies with respect to the project and CONTRACTOR'S services.
D. The JWC will obtain any and all regulatory permits required for the proper and legal
execution of the project.

SECTION III - COMPENSATION FOR SERVICES
A. FEES.
1. The JWC will compensate the CONTRACTOR on a LUMP SUM basis for the Task 1
"Upfront Engineering Costs" outlined in the attached Letter of Understanding (dated
12/3/2014) in Exhibit II.A, for the percent of work completed to date.
2. The JWC will compensate the CONTRACTOR on a LUMP SUM basis as for the Task 2
"Design and Bid Services" outlined in the attached Detailed Cost Estimate for Tasks 2 &
3, Exhibit II.B, for the percent of work completed to date.
3. The JWC will compensate the CONTRACTOR on hourly basis as for the Task 3
"Construction Services" outlined in the attached Detailed Cost Estimate for Tasks 2 & 3,
Exhibit II.B, for the services provided.
4. Additional services will be billed on an hourly basis for the services listed in Exhibit II and
at the rates listed in the Exhibit III.
B. The payment to the CONTRACTOR will be made by the JWC upon billing at intervals not
more often than monthly for the percent of work completed and for any additional services
at the herein rates.
SECTION IV -GENERAL
A. STANDARD OF CARE
Professional services provided under this Agreement will be conducted in a manner
consistent with that level of care and skill ordinarily exercised by members of the
CONTRACTOR'S profession currently practicing under similar conditions. No warranty,
express or implied, is made.
B. CHANGE IN PROJECT SCOPE
In the event the JWC changes or is required to change the scope of the project from that
described in Section I and/or the applicable addendum, and such changes require
Additional Services by the CONTRACTOR, the CONTRACTOR shall be entitled to
additional compensation at the applicable hourly rates. The CONTRACTOR shall give
notice to the JWC of any Additional Services, prior to furnishing such additional services.
The JWC may request an estimate of additional cost from the CONTRACTOR, and upon
receipt of the request, the CONTRACTOR shall furnish such, prior to authorization of the
changed scope of work.
C. LIMITATION OF LIABILITY
CONTRACTOR shall indemnify, defend, and hold harmless JWC and its officials, agents
and employees from any loss, claim, liability, and expense (including reasonable
attorneys' fees and expenses of litigation) arising from, or based in the whole, or in any
part, on any negligent act or omission by CONTRACTOR'S employees, agents, or
subcontractors. In no event shall JWC be liable to CONTRACTOR for consequential,
incidental, indirect, special, or punitive damages.
JWC shall indemnify, defend, and hold harmless CONTRACTOR and its employees from
any loss, claim, liability, and expense (including reasonable attorneys' fees and expenses
of litigation) arising from, or based in the whole, or in any part, on any negligent act or

omission by JWC'S employees, agents, or consultants. In no event shall CONTRACTOR
be liable to JWC for consequential, incidental, indirect, special, or punitive damages.
Nothing contained in this Agreement shall create a contractual relationship with or a cause
of action in favor of a third party against either the JWC or the CONTRACTOR. The
CONTRACTOR'S services under this Agreement are being performed solely for the
JWC'S benefit, and no other entity shall have any claim against the CONTRACTOR
because of this Agreement or the performance or nonperformance of services provided
hereunder. The JWC agrees to include a provision in all contracts with contractors and
other entities involved in this project to carry out the intent of the paragraph.
D. INSURANCE
The CONTRACTOR agrees to maintain, at the CONTRACTOR'S expense, statutory
worker's compensation coverage.
The CONTRACTOR also agrees to maintain, at CONTRACTOR'S expense, general
liability insurance coverage insuring CONTRACTOR against claims for bodily injury, death
or property damage arising out of CONTRACTOR'S general business activities (including
automobile use). The liability insurance policy sha�l provide coverage for each occurrence
in the minimum amount of$2,000,000 General Aggregate.
During the period of project execution, the CONTRACTOR also agrees to maintain, at
CONTRACTOR'S expense, Professional Liability Insurance coverage insuring
CONTRACTOR against damages for legal liability arising from an error, omission or
negligent act in the performance of professional services required by this agreement. The
professional liability insurance policy shall provide coverage for each occurrence in the
amount of$2,000,000 and annual aggregate of$2,000,000 on a claims-made basis.
CONTRACTOR shall provide JWC with certificates of insurance, showing evidence of
required coverages.
E. PERIOD OF AGREEMENT
This Agreement will remain in effect for the longer of a period of two years or such other
explicitly identified completion period, after which time the Agreement may be extended
upon mutual agreement of both parties.
F. PAYMENTS
If JWC fails to make any payment due CONTRACTOR for services and expenses within
thirty days after receipt of the CONTRACTOR'S invoice after giving seven days' written
notice to JWC, CONTRACTOR may, without waiving any claim or right against the JWC
and without incurring liability whatsoever to the JWC, suspend services and withhold
project deliverables due under this Agreement until CONTRACTOR has been paid in full
all amounts due for services, expenses and charges.
G. TERMINATION
This Agreement may be terminated by either party for any reason or for convenience by
either party upon seven (7) days written notice.
In the event of termination, the JWC shall be obligated to the CONTRACTOR for payment
of amounts due and owing including payment for services performed or furnished to the

date and time of termination, computed in accordance with Section III of this Agreement.
The CONTRACTOR shall be obligated to provide all deliverables for work that has been
completed and paid for by the JWC up to the time of termination.
H. CONTINGENT FEE
The CONTRACTOR warrants that it has not employed or retained any company or
person, other than a bona fide employee working solely for the CONTRACTOR to solicit or
secure this Gontract, and that it has not paid or agreed to pay any company or person,
other than a bona fide employee, any fee, commission, percentage, brokerage fee, gift or
any other consideration, contingent upon or resulting from award or making of this
Agreement.
I. NON-DISCRIMINATION
The provisions of any applicable law or ordinance relating to civil rights and discrimination
shall be considered part of this Agreement as if fully set forth herein.
The CONTRACTOR is an Equal Opportunity Employer and it is the policy of the
CONTRACTOR that all employees, persons seeking employment, subcontractors,
subconsultants, and vendors are treated without regard to their race, religion, sex, color,
national origin, disability, age, sexual orientation, marital status, public assistance status or
any other characteristic protected by federal, state or local law.
J. CONTROLLING LAW
This Agreement is to be governed by the law of the State of Minnesota.
K. SURVIVAL
All obligations, representations and provisions made in or given in Section IV of this
Agreement will survive the completion of all services of the CONTRACTOR under this
Agreement or the termination of this Agreement for any reason.
L. SEVERABILITY
Any provision or part of the Agreement held to be void or unenforceable under any law or
regulation shall be deemed stricken, and all remaining provisions shall continue to be valid
and binding upon JWC and CONTRACTOR, who agree that the Agreement shall be
reformed to replace such stricken provision or part thereof with a valid and enforceable
provision that comes as close as possible to expressing the intention of the stricken
provision.

SECTION V - SIGNATURES
THIS INSTRUMENT embodies the whole agreement of the parties, there being no promises,
terms, conditions or obligation referring to the subject matter ather than contained herein. This
Agreement may only be amended, supplemented, modified or canceled by a duly executed
written instrument signed by both parties.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed in
their behalf.

This Letter of Understanding is for work associated with performing the preliminary design, final
design/bidding and construction services associated with the 36" PCCP Line Repair/Replacement Project.
Pro_iect Understandin�:
The project understanding was presented during Bolton & Menk's November 25, 2014 presentation to the
JWC TAC members.
Proiect Plan:
The first step in this project will be to nail down the preliminary design. The repair method(s)chosen will
impact the design/bidding effort as well as the construction costs.
It will be important to schedule the kick-off work group design meeting as soon as possible. At this
meeting BMI will facilitate input from the JWC and work towards identifying the repair/replacement
methods along the alignment as well as the location of pits and manhole sites where survey information
will be needed. Project phasing, distribution system modeling, back-feed operations/controls for the
Crystal Reservoir, and oppartunities for public engagement will also be addressed during the meeting(s).
Preparation of an updated project costs estimate (engineering and construction costs) can then begin,
along with the survey work to obtain the reguired information for the design. Survey work may become
more expensive if we get more snow. The background information and design decisions along with the
updated project costs can then be incorporated into a preliminary design technical memorandum.

I. OVERVIEW
The Cities of Crystal, Golden Valley and New Hope comprise the Joint Water
Commission (JWC). Since the early-1960's, via a joint powers agreement the JWC has
purchased wholesale water from the City of Minneapolis. This water is delivered through
two pipelines from the Minneapolis distribution system to the Crystal and Golden Valley
ground storage reservoirs. From there the respective high service pump stations pump
the water to the threes cities' interconnected distribution system that includes three
elevated storage tanks.
The pipeline bringing water to the 20MG Crystal ground reservoir is a 36" PCCP. This
pipe is "lined" vs "embedded." "T'he pipeline was built in 1963 and until June 2013 there
had been no issues with the pipe other than at air release and drain valve taps. On June
22, 2013 the pipe ruptured under County Road 9, just west of County Road 81, causing
extensive damage. The failure, being on the bottom of the pipe, was attributed to
construction damage at the time the pipe was buried.
In the fall of 2013, the Pure Technologies SmartBall was inserted at the Minneapolis
head end of the pipeline and retrieved at the Crystal pump station. No leaks were
detected along the entire two mile length. In spring 2014 Hennepin County started the
reconstruction of County Road 9 in Robbinsdale between York Ave on the east end to a
point just east of County Road 81 at Lake Road. This is a two year project and as of
today is complete to a point just west of Franee Avenue. As part of the project, the 36"
PCCP is being replaced with 24" DIP.
On September 18, 2014, there was another pipe rupture, approximately two blocks west
of the 2013 failure. The failure was similar in that the bottom of the pipe blew out.
Following this failure Pure Technologies was retained to inspect as much of the pipe as
possible using the access created at the failure location. A team of six people did both
visual and electromagnetic inspection from a point east of County Road 81 to the east
side of Highway 100. The report is attached and shows the pipeline to be compromised
in 9.5% of the pipe sections. Asbuilt drawings are also attached.
The JWC has determined that the pipeline can no longer be safely operated at the �full
system pressure of 75-80 psi. Instead, the pipe is being used at less than half of the
normal pressure, with the valve at the reservoir end open at all times so that the pipe
cannot come up to full pressure. The pipe is being throttled near the Minneapolis
connection such that a constant flow rate of 1700 gpm is achieved. Taking water at this
rate into the Crystal reservoir, around the clock, combined with the fully operational
Golden Valley supply, will allow the JWC to provide water to the 70,000 customers
throughout the winter up to approximately the middle of May when the potential for
higher consumption begins.
Between now and mid-summer the JWC must study and evaluate the pipeline, consider
all alternatives for either managing the campromised pipe sections, do an all-out
rehabilitation or replacement, or a combination of the two, and then bid and implement
the plan.
II. PROJECT SCOPE and WORK TASKS
The JWC would be requesting that the services provided amount to a turnkey operation,
although there will be involvement from city staff. The consulting engineer would be
required to design and manage the project from start to finish. If requested, the
engineering services proposal must be based on performing the work tasks listed below,
including all meetings and relate work items. The project has analysis, design & bid, and
construction phases.
Phase 1 —Analysis
The following three pipe sections must be reviewed as part of the project:
1. Approximately 550 feet from the Mpls connection to the new 24" DIP.
2. That part of pipe yet to be replaced in 2015 as part of the Co Rd 9 project from
France Ave. to Lake Road.
3. The remainder of the pipe from the end of the Co Rd 9 Project to the reservoir.
(That portion of the pipe beneath I�wy 100 was replaced with 36" DIP in 2002)
The first two sections have not been inspected but the second will be replaced by August
2015. The third section was inspected from Lake Road to Hwy 100. The section from
west of Hwy 100 to the reservoir has not been inspected. Considering that 10% of the
inspected pipe is already eompromised, the JWC TAC questions the value of inspecting
uninspected sections instead of assuming the same 10% result. It may be possible to
inspect that portion west of Hwy 100 via the removal of the 90 degree bend where the

All options including spot repairs, CIPP, slip line, open cut, and any other plausible
methods to get the pipe back in full service should be considered and evaluated.
Recommendations would be made and the JWC would choose the best course of action.
Phase 2 —Desi�n and Bid
Once the various methods of rehabilitation have been sclected, the consultant would do
the design and prepare bid documents. It is hoped the project could be advertised by
March 15 in order to have the project awarded by the middle of April.
Phase 3 —Construction
The consultant would be required to manage and inspect the project. Level of inspection
will be determined at the time the consultant is selected
III. PROPOSED PROJECT SCHEDULE
Engineering services proposal submitted by: December 16, 2014
Contract with consultant signed by: January 9, 2015
80% Plan complete and cost estimate: February 27
Complete final design and advertise for bids March 16
Award contract April 11
Complete construction August 1
IV. SELECTION PROCESS
Several consultants, of which your firm is one, are being interviewed as part of the RFQ
process. There is no submittal required prior to the interview but a qualifications
document can be submitted at the time of the interview.
Consultants will be evaluated on understanding of all the issues related to the project,
potentially unique approaches to various aspects of the project, ability to complete the
project on time, and demonstrated related experience.
