Major Activities:
i. Brookview Community Center. Monitored and reviewed plans as they were being
developed. Recommended to City Council the basic replacement option with the
addition of a child play area.
z. Sochacki Park/Blue Line Light Rail Transit(LRT). Provided review, insight and direction
to staff,the Sochacki Park Joint Powers Agreement(JPA) Governance Board and the
City Council on the development of expectations and outcome goals for the Sochacki
Park through the LRT project planning. Provided (through staf� input to the LRT
Project OfFice and the JPA on topics of major concern, including continued use of the
park during construction, construction of paths and connections into the park,
restoration of vegetation in the park, sound/visual barriers between the park and the
LRT tracks, and trail connections to the Golden Valley Road Station. -
3. Reviewed and recommended the zoi6 Park Improvement Plan, which included many
major improvements to our parks, including:
• Completion ofthe Sandburg Athletic Complex Project
• New gazebo at Brookview Park
• New play structures at Golden Oaks and Lakeview Parks
• Bleacher replacements
• Sun shelter replacement at Wildwood Park
• Park signage additions and replacements

Summary
Staff has been working with the team at Discover St. Louis Park to develop a partnership to
promote and market the City of Golden Valley. The idea to create a convention and visitors'
bureau (CVB)to implement a strategic marketing and promotional effort for Golden Valley has
been discussed in the past with the City Council. The City Council directed staff to explore options
and make a recommendation for a marketing concept/relationship that would support
community growth, stimulate economic development and bring more visitors to Golden Valley to
enjoy our parks, community amenities and grow our local businesses.
Staff believes a partnership with Discover St. Louis Park is a wonderful opportunity to meet our
goals and build on a very successful model that has excelled in the past five years. We believe
partnering our resources provides a tremendous opportunity for both communities and allows
for very efficient delivery of services, organization and operation.
Staff has met with the hotel property owners in Golden Valley to present the proposal and
discuss the benefits. Both hotel entities are in favor of partnering with Discover St. Louis Park and
creating a new CVB for the City of Golden Valley.
The partnership would be funded by a local lodging tax which would require an ordinance
approval by the City CounciL
Staff is requesting direction to move forward to authorize the marketing services agreement and
implement a local taxing and lodging ordinance process.

MASTER MARKETING AGREEMENT
This Master Marketing Agreement (the " A�reement") is entered into as of ,
201_, (the "Effective Date") by and between St. Louis Park Convention and Visitors Bureau, a Minnesota
non-profit corporation ("DSLP") and the City of Golden Valley, Minnesota ("Golden Vallev"). DSLP and
Golden Valley are sometimes referred to as a"Parry"and collectively referred to as the"Parties".
RECITALS
WHEREAS, DSLP is organized as a non-profit destination marketin� organization pursuant to Minn.
Stat. §469190 and is funded pursuant to statute by tax revenues levied and collected by the City of St. Louis Park
from hoteliers in the City of St. Louis Park, Minnesota, said revenues.being used for the purpose of advertising,
marketing, and sales for the City of St. Louis Park, its businesses, and its various stakeholders; and
WHEREAS, Golden Valley has no similar destination marketing organization but seeks to engage in
advertising, marketing and sales activities. similar to those conducted by DSLP, for the benefit of the City of
Golden Valley, its businesses, and its own various stakehold�rs� and
WHEREAS, the Parties have identified certain assets each City holds �hat mutually further the interests
of the Parties to effectuate their respective advertising, marketing and sal�s goals; and
WHEREAS, Golden Valley has expressed �n interest in accessing DSLP's resources, staff and expertise
to assist Golden Valley in its advertising, marketing and sales activities; and DSLP with the approval of its
municipality authority, The City of St. Louis Park, is agreeable to provide certain resources, staff and expertise to
Golden Valley (referred to in this Agreement as "Marketing Activities," and defined below) in exchange for
specified funding contributions to DSLP from Golden Valley;
NOW THEREFORE, in consideration of the mutual covenants and understandings hereinafter set forth,
the Parties hereby agree as follows:
AGREEMENT
1. Con�itivus Precedent. The Parties' rights, interests, and obligations under this Agreement, are
subject to the satisfaction ot'each of the following conditions:
„ (a) Golden V�,llev Lod�in��Tax. Within six (6) months of the Effective Date of this
Agreernent, and pursuant to Minn. Stat. § 469.190, Golden Valley must approve and enact legislation
approving the collection of tax revenue from its hoteliers (the "Tax Revenue"). Golden Valley shall
further agree to payment af these proceeds to DSLP, less all statutory administrative fees and costs
retained unc�er statute by Golden Valley.
(b) Citv Anproval. The municipal city councils of the Cities of Golden Valley and St. Louis
Park, respectively,must each approve and ratify this Agreement.
(c) Pre-Legislation Activities. DSLP may takes steps in preparation for, and in anticipation
of Golden Valley's enactment of the legislation in Paragraph 1(a). No such preparation or work by DSLP
shall be construed to be "Marketing Activities," or otherwise be considered a waiver by DSLP or the
conditions precedent set forth in Paragraph 1(a) and 1(b) above. Any such preparation or work by DSLP
prior to Golden Valley's enactment of the legislation and actual receipt of Tax Revenue shall be done
solely at DSLP's volition, and shall not constitute an acceptance of any terms in this Agreement until the
conditions precedent are fully satisfied.
2. Term. The term of this Agreement shall commence on the Effective Date, and shall continue for
a period of one (1) year (the "Term"). Unless otherwise terminated pursuant to Paragraph 12 herein, this
Agreement shall renew automatically at the end of the Term for an additional one (1) year period, unless either
Party gives written notice of termination at least sixty (60) days before the end of the Term or any succeeding
renewal term.
3. Remittance of Tax Revenue. Golden Valley shall remit all Tax Revenue to DSLP, less all
reasonable administration fees on or near the 151h day of each month during the Term.
4. Exclusivitv of Marketin� Activity on behalf of Golden Valley.'; Golden Valley agrees that
DSLP shall be the sole recipient of Tax Revenue and that DSLP shall be the only authorized entity to conduct
Marketing Activity on behalf of Golden Valley as funded by the Tax Revenue.
5. Marketin� Activity. DSLP shall furnish seruices to Golden Valley to the extent reasonably
allowable within the Tax Revenue received,which shall include,'but is not limited to:
(a) Information services in the form of responding to inquiries about Golden Valley, its
hotels, businesses, city assets, parks, and recreational facilities, via U.S. Mail, social medialcomputer
(internet), advertising,telephone,wireless devices, and personal contacts�
(b) Provide planning and coordination to arganizations, business and groups to further the
interests of Golden Valley assets;
(c) Incorporate Golden Valley into the support materials, including but not limited to
promotional brochures, accomrnadations lists, website(s) and other marketing or event information in
general;
(d) Prepare and present'presentations ta groups to attract visitors, meetings, convention and
special events to Golden Valley and the are�;
(e) Distribut� applicable brochures and guides of Golden Valley to potential visitors,
businesses, and to meeting and event planners;
(�, Representation of Golden Valley at trade shows, conventions, and e�chibits to attract new
visitors to Golden Valley; anc�
(g) 'Promote Golden Valley as a destination through area, statewide, regional, national and
international advertising and marketing of Golden Valley and the area's hospitality industry and
attractions.
6. Proportional Activities and Fundin�. DSLP shall promote Golden Valley through the above
Marketing Activity at its reasonable discretion, and solely to the extent services can be provided from the Tax
Revenue received by DSLP. The expenses for all such promotion(s) shall be allocated proportionally based upon
the tax revenues received from both cities by DSLP.
7. Citv Desi�nee. Golden Valley shall nominate one representative to serve as an advisory member
to DSLP (the "City Desi�nee"). The CiTy Designee shall represent the Golden Valley at all meetings of DSLP.
The City Designee shall offer input on any and all Marketing Activity coordinated for the benefit of Golden
Valley, however, the City Designee shall not have a formal position as a director of DSLP, shall have no voting
rights,and shall in no instance be deemed an employee of DSLP.
8. Verification of Exuenses. Each year, DSLP will provide Golden Valley with a copy of DSLP's
audited annual financial statements (the "Financial Statements"). The Financial Statements shall summarize the
monthly financials containing allocated expenses for Marketing Activity separately for Golden Valley. The City
Designee shall have the right to access the official financial books and arganizationalrecords of DSLP at any time
during normal business hours, provided forty-eight (48) hours notification to DSLP's president or treasurer, to
audit any items of revenue or expenditure.
9. Insurance; Additional Insured; Waiver of Subro�ation. Golden Valley shall carry insurance
to cover its employees and agents while performing services pursuant to this Agreement. Such insurance shall
provide comprehensive general liability, automobile liability insur�nce, and property damage coverage to DSLP
and its employees and agents in such amounts as will eyual the applicable limits or liability to which Golden
Valley may be held pursuant to state statute, as the same may be amended from time to time, Golden Valley shall
also carry workers' compensation liability insurance as required by Minnesota statute, and provide DSLP with
proof of compliance with this Section. Said insurance procured by Golden Ualley shall name The City of St.
Louis Park, the St. Louis Park Visitor's and Convention Bureau, and Discover St. Louis Park as "additional
insureds" on their policies. To the fullest extent possible, the parties and-their insurers agree to waive subrogation
rights against each other.
10. Assignment. Neither this Agreement n�r the rights or obligations hereunder shall be assigned or
delegated, in whole or in part, by either of the Parties to`any ather third party or entity without the prior written
consent thereto by the other Party. Any attempted assignment or assignment of the rights or obligations of any
Party, in contravention of this Section, shall be null and void.`All references`in this Agreement to the Parties shall
be deemed to include, as applicable, a reference to their respective permitted successors and assigns.
11. Mutual Indemnification and Hold Harmless. Each Party shall hold harmless, and indemnify
the other Party and its`directors, officers, agents, and employees against any and all liability, loss, penalty, fine,
action, damage, claim, expense, including reasonable attorneys' fees and costs, to the extent caused by the
respective Parties' negligence, fault, act or arnission, and breaches of duties, under this Agreement, and for
actions, damages, claims, expense,`and attorneys' fees/costs brought by third person(s) and corporations for
whom the respective party is legally liable that arise from this Agreement.Notwithstanding the foregoing, neither
party shall be obligated to indemnify the other party in any manner whatsoever for that party's own negligence,
fault, act'or omission under this Agreement.
12. 'Termination. Eith�r party may terminate this agreement at any time by providing the other parly
sixty (60) days written notice e�idencing termination. Notwithstanding the foregoing, this Agreement shall
automatically terminate in the event that Golden Valley revokes or rescinds any ordinance or municipal tax levy
which would eliminate the Tax:Revenue funding Golden Valley's contribution to this Agreement. Within sixty
days of the termination of this Agreement, DLSP shall refund any outstanding Tax Revenue in its possession to
Golden Valley.
13. Default. Subject to Section 12, in the event of a default or material breach of any performance or
obligation under this Agreement, the non-breaching Party shall provide written notice evidencing the breach of
this Agreement within ten(10)days of the material breach or default. The breaching party shall have ten(10)days
from receipt of the notice to cure said default before the non-breaching pariy is entitled to commence any action
for breach of this Agreement.
14. Entire A�reement. This Agreement contains the Parties' entire understanding as to its subject
matter and supersedes all prior agreements, written or oral, between the Parties relating thereto. The non-
breaching Party shall provide written
15. Modification. This Agreement (and any schedules thereto) may be supplemented, amended, or
modified only by the mutual agreement ofthe Parties, and such agreement must be in writing, dated and signed by
both Parties. All such written modifications must be approved by vote of the Board of Directors of DSLP and the
Golden Valley City Council.
16. Notice. Any notice or other communication provided for herein or given hereunder to a Party
hereto shall be in writing and shall be given in person, by overnight courier, by mail (registered or certified mail,
postage prepaid,return-receipt requested) or by electronic mail to the respective Parties as follows:

17. Governin� Law�„Forum; 'Mandatorv Mediation. This Agreement shall be governed by the
laws of the State of Minnesota wi�c�ut regard to its conflict of law principles. No action by way of arbitration or
litigation for any dispute under this Agreement shall take place prior to mediation of said dispute with a mediator
of the parties' mutual choice. Any legal action arising from or relating to this Agreement shall be venued in the
Fourth Judicial District'of the Minnesota Courts, Hennepin County, Minnesota, and the Parties hereby consent to
the personal jurisdiction of said Court.
18. Severabilitv. Whenever possible, each provision of this Agreement will be interpreted in such
manner as to be effective and valid under applicable law, but if any provision of this Agreement is held to be
invalid, illegal, o r unenforceable in any respect under any applicable law or rule in any jurisdiction, such
invalidity, illegaliTy, or unenforceability will not affect any other provision or any other jurisdiction, but this
Agreement will be reformed, construed, and enforced in such jurisdiction as if such invalid, illegal, or
unenforceable provisions had never been contained herein.
19. No Joint Venture/A�ent Relationshin; Indenendent Contractor. Nothing in this Agreement
shall be construed to (1) create a joint venture, partnership, or other shared enterprise between the Parties, ar (2)
authorize either party to act as an agent for ar on behalf of the other party. DSLP shall at all times be acting in the
capaciTy as an independent contractor of destination marketing services for Golden Valley. DSLP shall have no
legal liability for employment, payroll, tax, or workers' compensation liability for Golden Valley, its employees,
the City Designee or the City Designee's acts/omissions.
20. Third Parties. Nothing in this Agreement express or implied is intended to confer any right or
remedy under or by any reason of this Agreement on any person other than the Parties, their respective heirs,
representatives, successors and permitted assigns, affect or discharge their obligation or liability of any third
persons to any Party to this Agreement, or give any third Party any right or subrogation or action over against any
Party to this Agreement.
21. Counteruarts. This Agreement may be executed in one or more counterparts, each of which shall
be deemed an original but all of which shall constitute one and the` same instrument. For purposes of this
Agreement, use of a facsimile, e-mail, or other electronic medium shall have the same force and effect as an
original signature.
22. Af firmation of the Parties; Waiver of Conflict of Interest. The Parties affirm that they have
entered into this Agreement freely, voluntarily, and without reliance on any promises, representations, or other
statements not contained in this Agreement and that they have read and understood this Agreement. The Parties
further recognize that to the extent any Marketing Activity conflicts with t�� interests of the two Parties and their
respective stakeholders, that the Parties mutually waive a�ty such conflict of interest,'with the goal that DSLP will
make its best efforts to engage in Marketing Activities that ,jointly benefit the interests of both sets of
stakeholders. The Mutual Indemnification and Hold Harmless provisions conta`ined in paragraph 11 (above)apply
to this paragraph.
23. Force Maieure. Ne�ither party shall be l�iable to the other far any failure or delay to perform its
obligations under this Agreement where such delay ar failure is caused by natural hazard and/or disaster, labor
unrest, riot, civil commotion, lockout, fire, flood, earthquake, typhoon, war, acts of foreign enemies, perils of the
sea, or other perils and any cause or circumstance whatsoever beyond the control of either party. In any of these
events the affected party shall, for the duration of such event, be temporarily relieved of its obligation impacted by
the event.
24. Headin�s. Headings used in this Agreement are provided for convenience only and shall not be used
to construe meaning or intent.

Summary
The design team from Hammel, Green and Abrahamson (HGA), the construction management
team from Adolfson & Peterson Construction (A&P) and staff will be presenting the final stages of
the design development phase for the proposed replacement of Brookview Community Center.
Project consultants and staff project will review:

Re: Brookview Community Center—Analysis of a Project Labor Agreement(PLA)
Dear Mr. Birno:
The City of Golden Valley requested AP to review the option to pursue a Project Labor Agreement(PLA)for
the new Brookview Community Center. After review of a draft of the PLA by the local building trades
council and discussions with the City of Golden Valley AP offers the following summary for City's
consideration of a PLA on this project.
SUMMARY
A PLA is a collective bargaining tool which guarantees a specific project to utilize union labor during
construction. Public institutions and private companies utilize this tool alike. The following are some pros
and cons of pursuing a PLA.
Pros of a PLA:
1. Increases likelihood that a project can be completed on time and on budget due to a reliable and
uninterrupted supply of qualified workers.
2. Lessens or eliminate labor strife by prohibiting strikes and lockouts.

As the Agency Construction Manager on this project, AP offers the following points:
1. The project budget supports the use of Davis-Bacon and union labor.
2. There are also a few trade contracts coming up during the construction of the project which could
have an impact on the projecYs timely completion.
3. There are some vendors that may opt to no participate in the project.
4. The PLA would NOT preclude the City from perForming some of the work with their own forces if so
stated in the agreement.
If an agreement is desired by the City,AP would suggest further discussions take place with the trade
council to finalize an agreement. The agreement would need to be in place prior to final bidding of the
project. In order to incorporate the agreement into the front end of the specification we should target
August 1S', 2016 for a fully executed agreement between all parties.

Summary
Staff has been working to identify issues for a 2016 Citizen Survey. The City has previously done
surveys in 1999, 2001, 2006, and 2013 and has used the statistically valid results to determine the
pulse of the community, including residents who may not have come forward to voice their
concerns in other venues. Past surveys were done by Decision Resources, Ltd (now the Morris
Leatherman Company). The survey this year will be helpful as staff begins updating the City's
2018-2028 Comprehensive Plan.
To aid in benchmarking with previous surveys, staff is recommending hiring the Morris
Leatherman Company to conduct the 2016 survey. The telephone survey of 400 households
would take approximately two weeks to complete and would occur mid to late summer. Results
would probably be available in September.
The attached draft uses the 2013 survey as a starting point to retain benchmark questions
(marked with a "B") and includes deletions and suggested modifications or additions. The
additions are broad in nature—Morris Leatherman Company writes all questions to reflect
professional survey style.

Golden Valley currently maintains and operates significantly more
tennis courts per capita than most neighboring communities. Most
of these courts were built in the 1970s and 1980s . Many are at a

The City has seven park shelter buildings in community parks that
are used year-round for summer playgrounds, winter rinks, athletic
leagues, special events, etc . These buildings were built in the
late 1970s and do not meet current ADA standards and are not
