The Golden Valley—Crystal—New Hope loint Water Commission (JWC) meeting was called to order at
1:30 pm in the City of Golden Valley Council Chambers.

Water Commission Meeting. Motion carried. March 1, 2017 JWC Meeting Cancelled due to lack of

Election/Appointment of Offices to the Joint Water Commission
Chairperson,Vice Chairperson and Secretary/Treasurer.
Moved by Cruikshank seconded by McDonald to reappoint all Joint Water Commission Offices. Motion

Solar Presentation
Staff from the City of Golden Valley has worked with Sundial Solar to identify and implement solar panel
installations through the City of Golden Valley. One of the sites identified as a possible location of the
installation of solar panels is the Golden Valley Reservoir.The loint Water Commission owns the
reservoir and the Minneapolis Park and Recreation Board (MPRB)owns the land. The reservoir site
would include installing approximately 12 rolls of panels providing approximately 780,000(DC watts)
annually.The panels would face north/south on the reservoir and range in height from 6 to 8 feet tall at
the north end to about 3 to 4 feet tall on the south end of each row.The panels will be similar to the
panels installed on the Golden Valley City Campus buildings; however the panels will be installed at a
lower angle to catch more direct light.This will also reduce the amount of light that is reflected and
potentially seen by neighboring properties.The underlying and surrounding area would then be seeded
with low maintenance native plantings.Access will be left to keep maintenance operations of the
reservoir open. Staff will work closely with neighboring property owners to address possible concerns.
There are no costs to the JWC to install panels on the reservoir.The investor will own and maintain the
panels for a period of 25 years.After the first six years,the JWC will have the option to buy and own the
solar array. If, after 25 years,the JCW opts not to purchase the panels,the investor must remove them
at their own costs.
The City will purchase directly from the investor all energy produced by the solar arrays. Any additional
energy needed would be purchased from Excel Energy.The rate that the investor charges is lower than

the rate from Excel;therefore every kilowatt hour of electricity purchased from the solar investor
generates savings to the City.The City pays$.075 to Excel for energy and will only be charged $.055
from the investor.The city will also receive a solar credit from Excel on all energy produced.
If the project proceeds,the energy would be directed to power the reservoir operations.This would
save the JWC approximately$17,000 in the first year and will increases thereafter.
The TAC has reviewed the project and recommends moving forward with final design of the solar array
and structural analysis of the reservoir.Any of the TAC's minor concerns will be addressed during final
design of the project.The Commission requested copy of contract to be included in next month's
packet.

Quotes were received for the reroofing of the Crystal pump station, replacement of roof hatches, and
upgrading of the ventilation in the pump room and the control room.

This project is one of the projects in the JWC 2017 budget, $90,000.The pump station roof was (ast
replaced in 1985.There currently is very limited ventilation in the pump room none in the control room
so with this project we will integrate the replacement of the roof hatches with the installation of an
exhaust fan and inlet air damper in the pump room and mini split air conditioning unit in the control
room to replace the window air conditioner currently there.
I recommend we accept the quotes from Central Roofing Company for the reroofing and hatch
replacement, $51,210.00 and UHL for the ventilation upgrades, $11,300.00.

By signing this Contract, the Purchaser accepts all of its terms and conditions:
1. PAYMENT TERMS. Payment of the Contract Price, shall be made monthly upon
receipt of an invoice for portion of the Work performed during that month. If any invoice
remains unpaid to the 20th day following receipt by Customer, Customer agrees to pay
Contractor interest at the rate of ten percent (10%) per annum from the due date until
paid.
2. TAXES. Contractor's price includes applicable taxes imposed on the work or materials
included in this contract, to the extent required by law to be collected by Contractor.
Such taxes may be separately itemized on invoices.
3. SECURITY FOR PAYMENT. Customer understands that if Contractor is not paid it
can assert a lien against the property. Contractor will issue waivers of its lien rights only
to the extent it receives payment.
4. RIDER. Understands and agrees to all items and clarifications within RIDER
#1(Attachment)
5. PERMIT. City needs to approve roof design as described above for this contract to be
valid.
The offer of this Contract shall expire automatically unless Customer delivers a properly
authorized and signed copy to Central Roofing Company before the 30th day after the date

ASBESTOS/HAZARDOUS SUBSTANCE
The owner warrants that there are no asbestos containing materials present in or on the building
that could be effected in the performance of this work under contract. Contractor's scope of work
shall not include the identification, detection, abatement, encapsulation, removal and/or disposal of
asbestos or other hazardous substances. If contractor encounters or disturbs in any way any such
products or materials in the course of perForming its work, or if such hazardous materials are
encountered by any other firm perForming work at the job site and contractor determines that such
materials present a hazard to its employees, contractor shall have the right to discontinue its work
and remove its employees from the job site until such products or material, and any hazards
connected therewith, are located and abated, encapsulated or removed, or it is determined that no
hazard exists (as the case may require), and contractor shall receive an extension of time to
complete its work hereunder and compensation for delays or other additional costs encountered as
a result of such situation or correction. (This is required by our insurance company).
MECHANICAL AND OTHER ROOFTOP EQUIPMENT
If, in order for Central Roofing Company (CRC) to perForm its work under this contract, it becomes
necessary to disconnect, remove, relocate or otherwise deal with any mechanical or other
equipment located on the deck or other surface on which CRC's work is to be performed, Owner to
Owner's agent shall provide for the disconnection, removal , relocation, or other appropriate action
with respect to such mechanical or other equipment and further, shall provide for the reconnection,
replacement or relocation of such mechanical or other equipment following completion of CRC's
work. CRC shall have no responsibility with respect to any such rooftop equipment.
MOLD
Moisture that has entered into the building prior to our installation or repair of the roofing system
may result in mold growth. We disclaim any and all responsibility for damages to persons or
property arising from or relating to the presence of mold in the building. By executing the contract
to which this Notice is affixed, Owner 1) releases us from any and all claims Owner and Owner's a)
family members, b) employees, c) tenants or d) any other building occupants may have as a result
of such mold growth and 2) agrees to hold us harmless from any and all penalties, actions,
liabilities, costs, expenses and damages arising from or relating to the presence of mold in Owner's

1. Uhl Company will use competent personnel and state of the art equipment to perform its work in a timely and professional
manner.
2. Uhl Company warrants it is covered by Worker's Compensation insurance, general liability insurance, automobile liability
insurance, and excess liabiliry policies. Certificates for all such insurance policies will be provided to you upon written
request.You�vill carry Builder's Risk with full owner and contractor coverage's and other necessary insurance for the project.
3. Payment is due within 30 days of Uhl Company's invoice date. Interest shall accrue on any unpaid balance at a rate of 1.5%
per month.Acceptance by Uhl Company of partial payments shall not constitute any release of collection or lien rights.
4. In the event of your default, Uhl Company will give 10 days notice to cure. If you remain in default, Uhl Company may

faulty installation or abuse,or incorrect electrical connections or alterations made by others,or use under abnormal operating
conditions or misapplication of the products and parts. Uhl Company makes no other warranty expressed or implied;and any
implied warranty of inerchantability or fitness for a particular purpose which exceeds the foregoing is hereby disclaimed by
Uhl Company and excluded from any agreement made by acceptance of an order pursuant to this proposal. Under no
circumstance shall Uhl Company be liable for prospective or speculative profits,or special,indirect,incidental,consequential,
or punitive damages and/or physical injuries. Under no circumstances will Uhl Company's liability exceed the dollar amount
of this proposal and shall terminate one year after the coinpletion of Uhl Company's work, and Uhl Company may, at its

8. All material and equipment furnished and installed by Uhl Company will carry the manufacturer's standard warranty.In many

correcting defects in material and worktnanship, for a period of 90 days after installation. However, if the standard
manufacturer's warranty does not provide for this additional coverage, the owner will be responsible for payment of these
repairs.THIS WARRANTY SPECIFICALLY EXCLUDES COVERAGE FOR ENVIRONMENTAL CONDITIONS, SUCH
AS MOLD. UHL COMPANY HAS MADE NO INSPECTION FOR, NOR REPRESENTATION REGARDING THE

Terms & Conditions
1. In case of any failure to perform its material and workmanship warranty obligations under this Agreement, Contractor shall be liable for the
reasonabiy foreseeable damages naturaily resulting from its breach of contract as defined by Minnesota Law. Further,Contractor agrees to act
on behalf of the Customer for purposes of enforcing such warranties,warranty,or guarantee on the part of Contractor with respect to equipment
furnished by outside sources.
2. Contractor will warrant that the materials and workmanship provided by the contractor under this agreement will be free from defects for a period
of 12 months after Customer's acceptance or beneficial use of the systems or any portion thereof, whichever is earlier, provided that the
Contractor is given prompt written notice of the defect.
3. Customer shall permit Contractor free and timely access to areas and equipment, and ailow Contractor to start and stop the equipment as
necessary to perform required services. Ali planned work under this Agreement will be performed during the Contractor's normal working hours;
except that no work will interfere with customer's instructional activities.
4. Contractor and Customer agree that all work required for the Project,including that of all other contractors and subcontractors for the Customer,
if applicabie,shall be performed in accordance with a mutually agreed upon precedent schedule of construction activities prepared in advance
of their commencement. Contractor shall provide a detailed schedule of its activities; their relationship to other activities, and their access
requirements and durations,and contractor agrees to perform such activities with as little disruption to customer's normal operation as possible.
The schedule shall be based upon commencement and completion dates stated in this Agreement. Contractor shall be entitled to an extension
of contract time in the event the Work or any part thereof is delayed by any cause beyond Contractor's reasonable control. Such causes include,
but are not limited to,acts of God or public enemy:compliance with any order,decree,or request of any government authority;acts of declared
or undeclared war; sabotage; fire; floods; adverse weather conditions; explosions; accidents; riots; strikes; labor disputes; inability to obtain
necessary materials or equipment from normal sources of supply;or any other cause not within the reasonable control of the contractor.
5. Any alteration to, or deviation from,this Agreement involving extra work, cost of materials, or labor will become an extra charge (fixed price
amount to be negotiated or on a time-and-material basis at Contractor's rates then in effect)over the sum stated in this agreement;and must
be approved in advance and in writing by customer,and customer shall not incur any such extra charge as a result of any action or inaction by
contractor.
6. Contractor will not be required to move,replace,or alter any part of the building structure in the pertormance of this Agreement.
7. This Agreement does not include responsibility for repair or replacement necessitated by freezing weather,electric power failure, low voltage,
burned-out main or branch fuses,low water pressure,vandalism,misuse or abuse of the system(s), requirements of governmental, regulatory

15. Contractor agrees to indemnify Customer from and against any and all claims,losses,or liabilities for personal injuries or property damages,as
well as costs and expenses incurred in the defense thereof,including attorney's fees,caused by Contractor's negligence in the pertormance of

• Wireless remote thermostat.

Terms & Conditions
1. In case of any failure to perform its material and workmanship warranty obligations under this Agreement, Contractor shall be liable for the
reasonably foreseeable damages naturally resulting from its breach of contract as defined by Minnesota Law. Further,Contractor agrees to act
on behalf of the Customer for purposes of enforcing such warranties,warranty,or guarantee on the paR of Contractor with respect to equipment
furnished by outside sources.
2. Contractor will warrant that the materials and workmanship provided by the contractor under this agreement will be free from defects for a period
of 12 months after Customer's acceptance or beneficial use of the systems or any portion thereof, whichever is earlier, provided that the
Contractor is given prompt written notice of the defect.
3. Customer shail permit Contractor free and timely access to areas and equipment, and allow Contractor to start and stop the equipment as
necessary to perform required services. All planned work under this Agreement will be performed during the Contractor's normal working hours;
except that no work will interfere with customer's instructional activities.
4. Contractor and Customer agree that all work required for the Project,including that of all other contractors and subcontractors for the Customer,
if applicable,shall be performed in accordance with a mutually agreed upon precedent schedule of construction activities prepared in advance
of their commencement. Contractor shall provide a detailed schedule of its activities; their relationship to other activities, and their access
requirements and durations,and contractor agrees to perform such activities with as little disruption to customer's normal operation as possible.
The schedule shall be based upon commencement and completion dates stated in this Agreement. Contractor shall be entitled to an extension
of contract time in the event the Work or any part thereof is delayed by any cause beyond Contractor's reasonable control. Such causes include,
but are not limited to,acts of God or public enemy:compliance with any order,decree,or request of any government authority;acts of declared
or undeclared war; sabotage; fire; floods; adverse weather conditions; explosions; accidents; riots; strikes; labor disputes; inability to obtain
necessary materials or equipment from normal sources of supply;or any other cause not within the reasonable control of the contractor.
5. Any alteration to, or deviation from,this Agreement involving extra work, cost of materials, or labor will become an extra charge(fixed price
amount to be negotiated or on a time-and-material basis at Contractor's rates then in effect)over the sum stated in this agreement;and must
be approved in advance and in writing by customer,and customer shall not incur any such extra charge as a result of any action or inaction by
contractor.
6. Contractor will not be required to move,replace,or alter any part of the building structure in the performance of this Agreement.
7. This Agreement does not include responsibility for repair or repiacement necessitated by freezing weather,electric power failure, low voltage,

Note,this letter is a response to the Geislinger/All Phase Claim dated May 9, 2016. The claim is
included for reference as Attachment l. The 4�h page of the claim identifies 5 items where
additional compensation is requested.
Hennepin County acknowledges the request for additional compensation and agrees that the
additional depth required for helical piles was unforeseen during the bidding process.
Furthermore,the County agrees that the Contractor can expect additional compensation for using
larger piles as part of the utility support system. The fvllowing comments include details related
to the portions of the work that were identified by the Contractor as part of this request for
additional compensation.
Item: Base sections and extensions(Line 1 and 2 of the 4t"Pa�e of the Claim)
Response: Hennepin County agrees that additional material cost is reasonable. Please see the
attached summary of additional lead sections and extensions. This is included as Attachment 2.
In general, plan sheet G001 represents installing helical piles to a depth of approximately 35 feet.
During construction,the depth varied between 50 feet and 90 feet. Larger piles were thus
required to meet the prescribed load test parameters.
This summary results in additional$63,249.65 that may be paid under this contract.
Item: Additional test(Line 3 of the 4�h Pa�e of the Claim)
Response: Hennepin County agrees that additional compensation for testing is reasonable for
helical tests due to the variation in depth. In following with the reasoning to compensate for

review the actual quantity of extensions used for the tests.
Hennepin County does not agree with the quantity of helical pile extensions for the reaction
piles. The information provided on two separate occasions by All Phase included a quantity for
helical extensions that identifies new helical extensions being used for each and every test.
According to our records,the Contractor used the same helical leads and extensions for the
reaction piles in many cases. �Iennepin County would like to meet to review the appropriate
amount of helical pile extensions used for reaction piles. Further discussion is necessary to
determine an appropriate amount of helical pile extensions used for reaction piles.
Attachment 3 suggests that approximately 25% of helical piles were installed as new reaction
piles. This represents that the majority of the "reaction"helical piles were reused for each test.
The attached calculation identifies approximately$6,400.00 of additional compensation that may
be provided to the contractor.
Item: Cost of Trip to Michigan to �et material (Line 4 of the 4�h Pa�e of the Claim)
Response: Hennepin County agrees that additional compensation is reasonable for transportation
costs due to the unforeseen variations with field conditions. The amount noted is agreed upon by
County staff. This item results in an additional $2400.00 that may be paid under this contract if
the Contractor agrees to this response.
Item: Additional cost of eauipment rental (Line 5 of the 4`h Page of the Claim)
Response: Hennepin County does not support paying for additional equipment rental for this
work. Hennepin County further notes that helical tests could have been set up in the weeks
ahead of the actual installation, and delays as part of this work could have been avoided.

provide a written response regarding the Contractor's thoughts regarding use of additional piles
for tests that were completed.

This contract is amended as follows:
WHEREAS: The Contract provides for, among other things, the improvement of a certain section of County
State Aid Highway No. (CSAH) 9 within the Cities of Robbinsdale and Minneapolis; and
WHEREAS: The construction documents included installing helical piles to support sanitary sewer and
watermain pipe in areas where underlying soils would not adequately support the utility pipes;
and
WHEREAS: The plans suggested a pile depth of approximately 35 feet; and
WHEREAS: The project provisions referenced two separate pile sizes, 1.5-inch square tube and 2-7/8"
diameter piles; and
WHEREAS: Test piles were installed to a depth of 50-feet and 90-feet, and tested to verify the loading criteria
were met; and
W�IEREAS: The piles identified in the provisions were tested, and the results did not meet the necessary load
requirements; and
WHEREAS: Larger diameter piles were utilized, and the 3.5-inch diameter piles met the parameters of the
load test; and
WHEREAS: These larger piles were used for the utility support system; and
WHEREAS: The Engineer recognizes that the soil conditions varied from what was identified in the plans;
and
WHEREAS: The use of the larger piles results in an alteration of work.

NOW THEREFORE IT IS MUTUALLY AGREED AS FOLLOWS:
1. The contractor agrees to install larger helical piles to complete pile construction for the purposes of
supporting the utility systems.
2. The contractar hereby accepts payment described herein as full compensation for furnishing all labor,
equipment, and material to complete the improvements.
3. Payment for this additional work will be made under the herein established pay items as shown in the
attached "Quantity & Cost Breakdown".
4. The Contractor shall not make claim of any kind or character whatsoever for any other costs or expenses
which it may have incurred or which it may hereafter incur in furnishing the material, equipment, and
labor required to complete the specific work added to the contract by this Supplemental Agreement.
5. The following items as stated within the attached "Quantity& Cost Breakdown" shall be added to the
contract.

Golden Valley Road- NH will check their system too.
• TAC still developing a full priority list.
• TAC would like to purchase adapters ahead of time
because there is a 12 week lead time on those parts.
• TAC discussed purchasing materials for contractor to

• Possibly order all parts this year and install next year.

• (14-027) Trunk Valve Replacement-will replace
based off of Geodatabase findings, not necessarily
one from each City.
• (15-006) Install 48-inch gate valve at GV reservoir-
will perform project in 2018.
• (16-006) Inspect and Clean Reservoirs-will obtain
professional services agreement to this work in 2017.
• (16-012) Replace intake valve at Reservoir-Crystal
will do this in 2017.

• (17-002) Reroof pump station—Crystal will complete
this project in 2017— Randy is working on quotes and
approval.
• (17-004) Rehab PCCP Pipe—will use these funds

• Dave, Randy, and Joe will meet and determine CIP
needs.
• Will bring to TAC for long term project discussion.
6. Golden Valley Reservoir Solar Project
• Golden Valley is moving forward with project
feasibility and neighborhood input.

1 . Water Supply Plan
a. Calibration Test Results
� Will calibrate and remodel with updated hydrant
flows.
b. Existing System Analysis
• Will work with FD on the thresholds for different
zonings and required max flows (i.e. 3500 GPM?)
c. Local Comprehensive Plan Schedule
d. Local Water Conservation Chapter
e. Need Information — see handouts
• Need to send info from each individual City and JWC
to SEH.

• SEH is confirming what else they need.
2. Project Updates
a. Elevated Tower Inspection
• TAC discussed getting KLM back to help setup and
budget for long term plan.
• Would like to get onto schedule of painting one tower
every 7-10 years.
• Would hold out as long as possible on replacement
and do maintenance as needed.
• Need to look into flow model for raising and/or
eliminating one/both of NH towers.
b. Reservoir Work

• Parts have not arrived

• Mark Ray looking into Homeland Security Plan— how
this would tie into our security plan.
3. PCCP Analysis Update
a. Criticality Map with Valves
• TAC is working to prioritize list.
• Crystal has replaced one of their valves this year.
• Priority valves include 32t'' and Douglas, and two on
Golden Valley Road — NH will check their system too.
• TAC would like to purchase adapters ahead of time
because there is a 12 week lead time on those parts.
• Possibly order all parts this year and install next year.
• Need to determine schedule soon if we want to
construct this year.
4. JWC 2017 — 2021 CIP
• Recommending approval on reroofing Crystal pump
station —about$25K under budget.
5. 2018 — 2022 CIP
• Will prioritize valve replacement and periodic testing
on trunk mains.
• Will setup towers on 10-year maintenance plans.
6. Golden Valley Reservoir Solar Project
• No update.
7. CSAH 9 Change Order
• Hennepin County brought this change order to our
attention for additional pile size and length back in
2014.
• TAC has agreed this is a legitimate claim.
