"RESOLUTION PROVIDING FOR DIVISION OF COSTS FOR DOUGLAS DRIVE
IMPROVEMENT"
(Agreement for Division of Cost for Grading, Concrete Curb
and Gutter, Gravel Base, Bituminous Surfacing, Bridge
Widening and other related Improvements of County State
Aid Highway No. 102)
AGREEMENT, Made and entered into this 15th day of July, 1958, by and
between the County of Hennepin, hereinafter referred to as the "County",
and the Village of Golden Valley, hereinafter referred to as the "Village",
WITNESSETH:
WHEREAS, The County and the Village for some time have been negotiating
to bring about the improvement of that portion of County State Aid Highway
No. 102 (known as Douglas Drive) from Trunk Highway No. 55 to approximately
450 feet Northerly of St. Croix Avenue or from Engineers Station 0+06 to
Engineers Station 56+64.5 as shown on the County Highway Engineer's Plan
for County Project No. 5708, which improvement contemplates grading, concrete
curb and gutter, gravel base, bituminous surfacing, bridge widening and other
related improvements; and
WHEREAS, The County Highway Engineer has heretofore on Maich.'28, 1958,
prepared an Engineers Estimate of the quantities and unit prices of materials
and labor for the above described project and an estimate of the total cost
in the sum of $193,315.90 for said project; and
WHEREAS, It is contemplated that said work be carried out by the parties
hereto under the provisions of M.S. Sec. 160.691, Subd. 3.
NOW, THEREFORE, IT IS HEREBY .AGREED:
I.
That the County shall advertise for bids for the work and construction
of the above referenced project; receive and open bids pursuant to said
advertisement and enter into a contract with the successful bidder at the
unit prices specified in the bid of such bidder. The contract will be in
for and will include the plans and specifications prepared by the County
Engineer, which said plans and specifications have heretofore been approved
by the County Board and the Council of Golden Valley.
II.
The engineering services to be rendered under said contract will be
provided and supervised by the County Highway Department.
The Village shall pay the County the lump sum of $5,000.00 for engineering
design and supervision, which is to be an amount over and above the Village's
share in the cost of the construction items stipulated in Paragraph IV.

The Village of Golden Valley assumes and agrees to pay the entire
cost of procuring the necessary right of way easements and slope ease-
ments, including any and all damages accruing to any person or persons,
including public or private utilities in relocating or removing or adjust-
ing mains, conduits, or other structures located in or upon the land taken,
and within the present right of way, or damage in procuring such right of way,
whether such damage is caused by the County or the Village in the performance
of such contract with respect to improvements of County State Aid Highway 102
as shown on plans for County Project 5708.
Such right of way expense is not included in the Engineers Estimate
mentioned on page one.
IV.
The Village shall reimburse the County for its share in the cost of said
project; and the total final cost of said project shall be apportioned and
divided between the said Village and said County as follows:
(A) The Village shall pay to the County the full total final cost
of construction of all concrete curb and gutter, and for the gravel base
and bituminous surfacing that Will have to be constructed outside of 33
feet on each side of the established center line of County State Aid
Highway No. 102 for this project.
(B) The required construction work for County Road No. 66 between Engineers
Station 115+37 to Engineers Station 128+00 shown on Sheet No. 4 of the plans..
for County Project 5708 shall be shared equally between the County and the
Village.
(C) Where it becomes necessary for the County to remove any of the
present concrete sidewalk or curb inplace for the construction of this
project the County will pay one-half the cost for the replacing of the side
walR. All other concrete sidewalk to be constructed in connection with this
project as ordered by the Village shall be paid one hundred per cent (100%)
by the Village.
(D) The total final cost of the remainder of said project except as pro-
vided above in Paragraph IV "A","B " and "C", shall be shared equally by the
Village and the County, each paying a sum equal to one-half thereof.
It is agreed that the Engineers Estimate referred to on page one of this
agreement is an estimate of the total cost of said project; that the unit
prices set forth in the contract with the successful bidder and the final
quantities as measured by the Engineer shall govern in computing the
total final cost for apportioning the cost of said projedt according to
the provisions of this paragraph.

The Village
Engineer shall co-operate with the

no responsibility
for supervision
of the work.

V.
The Village, upon receipt from the State of Minnesota of its share of
the Municipal State Aid Account allocated to this project, shall immediately
deposit the monies with the Treasurer of Hennepin County to the credit of
the Road Construction Fund for this project No. 5708.
If the portion of its Municipal State Aid account received for this
project is not sufficient to pay the full Village share, the Village agrees
to deposit with the Treasurer of Hennepin County to the credit of the Road
Construction fund for this project, the balance of the Village share within
thirty (30) days after the award of contract by the County.
Upon payment of the final estimate to the successful bidder by the County,
any amount remaining to the credit of the Village as a balance in the deposit
account will be returned to the Village. Any amount due the County by the
Village upon payment of the final estimate by the County shall then be paid
by the Village as the final payment for this project.
VI.
The County Engineer will prepare monthly progress payments as provided
in the contract with the successful bidder which will be accompanied by an
itemized statement showing the respective amounts paid by the County for the
Village under this contract.
VII.
All records kept by the Village and the County with respect to this
project shall be subject to examination by the representatives of each.
VIII.
It is further agreed that the Village shall not issue any permits or
cause to allow for any service outs for any installation of underground
utilities which would be considered as new work for a period of five (5)
years after completion of the project; service cuts to be allowed for the
maintenance and repair of the existing underground utilities.
IN TESTIMONDY WHEREOF, The parties hereto have caused this agreement
to be executed by their respective duly authorized officers as of the day
and year first above written.

The motion for the adoption of the foregoing resolution was duly seconded by
Member Scherer and upon vote being taken thereon, the following voted in
favor thereof: Bies, Flannagan, Nadasdy, Scherer, and Teresi; and the fo11--
owing voted gainst the same: None; whereupon said resolution was declared
duly passed and adopted, signed by the Mayor and his signature attested by
the Clerkâ
