Resolution 95-6
June 27, 1995
Commissioner Johnson introduced the following resolution and moved its
adoption:
RESOLUTION EXTENDING THE CONDITIONAL DESIGNATION OF
MEPC AMERICAN PROPERTIES, INC. AS DEVELOPER OF THE
AREA WEST OF XENIA AVENUE IN
THE GOLDEN HILLS REDEVELOPMENT AREA
WHEREAS, the HRA in and for the City of Golden Valley (hereinafter
"HRA") and the City Council for the City of Golden Valley (hereinafter "City") have
approved the Golden Hills Redevelopment Plan as amended; and
WHEREAS, the HRA conditionally designated MEPC American
Properties, Inc. (hereinafter "MEPC") as developer of a portion of the Golden
Hills Redevelopment Area west of Xenia Avenue (the "West Area") in Resolution
92-8 adopted December 8, 1992, and extended the designation in Resolution
94-6 adopted May 10, 1994; and,
WHEREAS, ongoing environmental studies have further delayed
development of the West Area; and,
WHEREAS, MEPC desires to extend it designation in order to continue
development activities in the area.
NOW, THEREFORE, BE IT RESOLVED, by the HRA as follows:
1. MEPC's conditional designation as developer of the area west of Xenia
Avenue in the Golden Hills Redevelopment Area is extended until
December 31, 1996.
2. MEPC will undertake planning, marketing, and development efforts; all
of MEPC's plans will meet all requirements of the HRA and the City
including but not limited to all building, zoning and planned unit
development requirements; and, MEPC understands that any
development requires a negotiated development agreement between the
HRA and the developer which agreement shall contain terms satisfactory
to the HRA and MEPC.
3. In the event that a person wishes to develop and own a development
within the area included within the area of MEPC's conditional
designation, it is understood that the HRA may deal directly with the
owner/developer or its agents and designate them developers for the
specific parcels involved.

4. The conditional designation is not be construed as contractually
binding on the HRA, but is a statement of the HRA's commitment to work
in good faith with MEPC during this period unless MEPC fails to diligently
pursue redevelopment efforts or the HRA rescinds this designation, which
the HRA may do in sole and absolute discretion.

Motion for the adoption of the foregoing resolution was seconded by
Commissioner Micks, and upon a vote being taken thereon, the following
voted in favor thereof: Johnson, Micks, Russell, Thompson and Tremere ;
and the following voted against the same: none; whereupon said
resolution was declared duly passed and adopted, signed by the Mayor
and his signature attested by the Director.
