. Commissioner Johnson introduced the following and moved its adoption:
RESOLUTION CONDITIONALLY DESIGNATING
WILLIAM E. BERGQUIST
AS DEVELOPER OF A PORTION OF THE
HENNEPIN COUNTY SHERIFF'S SITE
WHEREAS, the HRA in and for the City of Golden Valley (hereinafter
"HRA") has worked with Hennepin County to purchase excess land east of.the
Hennepin County Dispatch Center to be replatted into a single parcel of
approximately 5 acres; and,
WHEREAS, William E. Bergquist (hereinafter "Developer") has expressed
an interest in partnering with the HRA and Habitat for Humanity to develop a
housing subdivision with 16 affordable and market-rate units in keeping with the
design guidelines adopted by the HRA on August 14, 2001; and,
WHEREAS, the HRA wishes to further explore the purchase of the
Hennepin County site and work with William E. Bergquist on its development.
NOW, THEREFORE, BE IT RESOLVED, by the HRA as follows:

1. William E. Bergquist is hereby conditionally designated developer of a
5 acre site which the Housing and Redevelopment Authority is
currently negotiating to purchase as excess property from Hennepin
County.
2. The HRA understands that William E. Bergquist will undertake all
planning and development efforts to construct the project on such
property, and William E. Bergquist understands that he will have to
meet the requirements of the HRA and City and enter into a negotiated
development agreement with the HRA, which development agreement
shall contain terms satisfactory to the HRA and William E. Bergquist.
Mr. Bergquist will work cooperatively with Habitat for Humanity and
hold a community open house regarding his proposal prior to a public
hearing by the HRA on the sale of the land as part of these
negotiations.

3. The designation contained in this resolution is not an offer or an
agreementto sell the development property, or the grant of an option
or any other interest in the development property. The HRA re.serves
the right to rescind the designation at any time in its sole and absolute
discretion. Subject to the foregoing, the HRA agrees to commence
negotiation of the development agreement with WilHam E. Bergquist or
his designee until such time as it determines to terminate such
negotiations in its sole and absolute discretion.

4. This designation is effective as of the date hereof and shall
automatically terminate and be of no force or effect at such time as the
development agreement is executed by both parties, or September 1,
2003, whichever occurs earlier.
BE IT FURTHER RESOLVED, by the HRA that its staff is directed to:
1. Report to Hennepin County the continued interest of the HRA in
purchasing county property and request and extension from a stated
August 1, 2003 deadline for the purchase of the property.
2. Explore the cost of public improvements necessary for the site and
request the City Council to authorize a feasibility study, to be paid for
by the developer, if necessary to determine the cost of public
improvements for the site.

Motion for the adoption of the foregoing resolution was seconded by
Commissioner Grayson; and upon a vote taken thereon, the following voted in
favor thereof: Grayson, Johnson, LeSuer, Loomis and Tremere; and the following
voted against the same: none; whereupon said resolution was declared duly
passed and adopted, signed by the Chair and his signature attested by the
Director.
