Commissioner Loomis introduced the following and moved its adoption:
RESOLUTION CONDITIONALLY DESIGNATING
DAVID WEBB AS DEVELOPER OF A PORTION OF
THE GOLDEN HILLS REDEVELOPMENT AREA
(1201 SouthTurner's Crossroad and the
MnDOT Parcel East of the Golden Hills Shopping Center)
WHEREAS, the Golden Valley Housing and Redevelopment Authority
(HRA) is the owner of property at 1201 South Turner's Crossroad in the Golden
Hills Redevelopment Area formerly used for a veterinary clinic; and
WHEREAS, the Minnesota Department of Transportation (MnDOT) is the
owner of property east of the Golden Hills Shopping Center (5320-5418Turner's
Crossroad) that it acquired for the construction of 1-394 and now is excess
property, also located in the Golden Hills Redevelopment Area; and
WHEREAS, David Webb, owner of the Golden Hills Shopping Center,
would like to redevelop the shopping center and acquire these parcels to include
in the redevelopment project; and
WHEREAS, the HRA is willing to discuss with MnDOT the purchase of its
parcel, and discuss with Webb the sale of the MnDOT parcel and the HRA parcel
at 1201 South Turner's Crossroad to him for the redevelopment of the Golden
Hills Shopping Center.
NOW, THEREFORE, BE IT RESOLVED, by the HRA as follows:
1. David Webb is conditionally designated as developer of the HRA parcel
at 1201 Turner's Crossroad and the MnDOT parcel east of the Golden Hills
Shopping Center.
2. The HRA understands that David Webb will undertake all planning and
development efforts necessary to combine these parcels with the Golden Hills
Shopping Center parcel and construct a project on the combined property and
that if such efforts meet the requirements of the HRA and City, Webb will enter
into a negotiated development agreement with the HRA, which development
agreement shall contain terms satisfactory to the HRA and Webb.
3. The designation contained in this resolution is not an offer or an
agreement to sell the development property, or the grant of an option or any
other interest in the development property. The HRA reserves the right to
rescind the designation at any time in its sole and absolute discretion. Subject to
the foregoing, the HRA agrees to continue to discuss the development with
Webb until such time as the HRA determines to terminate such discussions in its
sole and absolute discretion.

4. No zoning consideration such as a change in zoning, PUD
classification or variances are granted or implied by this action.
5. This designation is effective as of the date hereof and shall
automatically terminate and be of no force or effect at such time as the
development agreement between Webb and the HRA is executed by all parties,
or September 1, 2004, whichever occurs earlier.

Motion for the adoption of the foregoing resolution was seconded by
Commissioner Tremere, and upon a vote taken thereon, the following voted in
favor thereof: Freiberg, Grayson, Loomis, Tremere, Shaffer; and the following
voted against the same: none; whereupon said resolution was declared duly
passed and adopted, signed by the Chair and his signature attested by the
Director.
