Presiding Officer Statement Regarding Holding
Meetings via Telephone or Other Electronic Means
As Chair of the Golden Valley, Crystal, New Hope Joint Water Commission (the "JWC"), I find
as follows:
a. The spread of COVID-19 within the United States has raised serious public health concerns
and resulted in a great deal of uncertainty since much remains unknown about the virus
and how it spreads.
b. On March 11, 2020, the World Health Organization determined the outbreak constitutes a
pandemic. On March 13, 2020, President Trump declared a national state of emergency as
a result of the pandemic.
c. On March 13, 2020, Governor Tim Walz declared a state of peacetime emergency to
address the coronavirus pandemic in the State of Minnesota. The Governor's declaration
triggered activation of the member Cities' emergency management plans and enabled the
cities to exercise their emergency powers as needed to respond to the emergency.
d. The Minnesota Department of Health has provided specific guidance encouraging the
limiting of events that do not allow social distancing of six feet per person, which is not
practical to achieve in the JWC's meeting room.
e. Minnesota Statutes, section 1313.021 authorizes cities to meet by telephone or other
electronic means in the case of a health pandemic or when an emergency has been

declared if the presiding officer, chief legal counsel, or chief administrative officer
determines meeting in person is not practical or prudent. The statute also allows these
officers to determine it is not feasible to require any Board members or staff to be present
in the meeting room during a meeting.
f. Given the uncertainties associated with COVID-19 and its spread, conducting in -person
JWC Board meetings is not practical or prudent, and it is not feasible to require any Board
member or staff to be present in the meeting room during the meetings. The JWC's goal
is to slow the spread of COVID-19 within the District and holding meetings via telephone
and electronic means allows the Commission to accomplish this goal while still conducting
the Commission's business.
Based on the above findings, I hereby determine and state as follows:
1. Until this statement is terminated due to the end of the pandemic or the Governor's
emergency declaration, JWC Board Meetings shall be conducted by telephone or other
electronic means in a manner satisfying the requirements of Minnesota Statutes, section
13D.021.
2. The meeting rooms will not be open to the public to attend the meetings.
3. Members, the chief legal counsel, the chief administrative officer, and staff are not
required to be present in the meeting room during meetings.
4. Before each meeting, notice will be provided regarding how the public may listen to or
view meetings as they are being conducted.
5. All votes occurring at the meetings shall be conducted by roll call.

Approve Emergency Response Plan and Risk Resilience Assessment
Staff reported that Section 2014 of America's Water Infrastructure Act of 2018 requires community water
systems that serve more than 3,300 people complete a risk and resilience assessment and develop an
emergency response plan. The staff indicated the EPA flyer with more detailed information has been
distributed separately as they include contact protected and privileged information.
Moved by Cruikshank seconded by McDonald to approve the Joint Water Commission Risk and Resilience
Assessment and Emergency Response Plan. Upon a roll call vote the following voted in favor: Norris,
McDonald, and Cruikshank. The following voted against: None. Motion carried.

As per the Joint Water Commission By -Laws, each year the Joint Water Commission appoints a
chairperson, vice chair and Secretary/Treasurer
a. Officers and Officers' Duties: There shall be appointed on an annual basis on the following officer of
the Commission:
Chairperson; Vice Chairperson; and Secretary/Treasurer. The Chairperson or, in his or her absence, the
Vice Chairperson shall preside at all meetings of the Commission. The Secretary/Treasurer shall act as
the Clerk of such meeting, shall give notice thereof and shall be custodian of all books and records of
the Commission. The Finance Department on one of the member Cities be the custodian of all moneys
received by the Commission, shall keep accounts thereof, shall pay out money on orders signed by the
Chairperson, shall submit to the Commission such reports as it may request regarding the financial
affairs of the Commission.

Approve Hennepin County Final Invoice for the 36" Water Main Rehabilitation Project

Summary
In May 2014 (this is not a typo) the Joint Water Commission (JWC) entered into a Joint Powers
Agreement with Hennepin County and the City of Robbinsdale to replace a portion of the 36" water
main that was in a Hennepin County project area along 42ndAvenue. Earlier this month the JWC received
the final invoice from Hennepin County for this project.
Budget Considerations
The JWC has paid $676,930.60 to the County to date for this project. The original construction costs
were $1,305,734.46. Per the agreement with Hennepin County provided for administrative/engineering
costs to be 8% of the construction amount. The amount due is $733,262.62 which would give a total of
$1,410,193.22 paid by the JWC to Hennepin County.
This project had $1,500,000 allocated in the CIP. As noted previously, $980,266.52 had been spent to
date, with the current $733,262.62 invoice the project will be over budget by $213,529.14. The overage
will be covered by fund balance.

CONSTRUCTION COOPERATIVE AGREEMENT
THIS AGREEMENT, Made and entered into this day of
, 2014 by and between the County of Hennepin, a body politic and
corporate under the laws of the State of Minnesota, hereinafter referred to as the "County", and
the City of Robbinsdale, a body politic and corporate under the laws of the State of Minnesota,
hereinafter referred to as the "City", and the Joint Water Commission, a public entity with its
principal place of business at 7800 Golden Valley Road, Golden Valley, MN 55427, hereinafter
referred to as the "Commission".

WHEREAS, the County and the City have been negotiating to bring about the
improvement of that portion of County State Aid Highway Number (CSAH) 9 (Lake Drive/45th
Avenue North) from east of CSAH 81 (Bottineau Boulevard) to Xerxes Avenue North, as shown
on the plans for County Project Number (CP) 0623 which improvements contemplate and
includes grading, drainage, bituminous surfacing, concrete curb and gutter, concrete walk,
watermain, sanitary sewer, lighting, signing and striping, traffic signals, landscaping and other
related improvements, and which shall hereinafter be referred to as the "Project"; and
WHEREAS, the above described Project lies within the corporate limits of the City; and
WHEREAS, the County Engineer has heretofore prepared an Engineer's Estimate of
quantities and unit prices for the above described Project in the sum of Ten Million One Hundred
Fifty Eight Thousand Two Hundred Dollars and Twenty Six Cents ($10,158,200.26). A copy of
said estimate, marked Exhibit "A", is attached hereto and by this reference made a part hereof;
and
WHEREAS, the City has indicated its willingness to participate in the construction,
engineering, right of way and maintenance costs of the Project as detailed herein; and
WHEREAS, there exists Hennepin County Agreement No. 15-03-12, dated August 24,
2012, between the City, Independent School District 281 and the County regarding drainage,
storm water treatment, right of way acquisition and operational challenges at the Lakeview
Elementary School related to the construction of the Project; and

WHEREAS, the Commission owns and operates a thirty six inch watermain that supplies
water to cities in the metropolitan area; and.
WHEREAS, the above mentioned watermain is located within the Project's construction
limits and the Commission has requested that the County include in plans for the Project the
replacement of said watermain and attached support structures, said replacement being a twenty
four inch watermain; and
WHEREAS, the County has expressed its willingness to include in the Project the
replacement of the Commission's watermain as provided for herein; and
WHEREAS, to ensure compatibility with the County's existing network of traffic signal
systems the County will furnish the controllers, control equipment and control cabinets to be
installed as a part of the Project; and
WHEREAS, to ensure consistency with the City's existing street lighting system the City
will furnish the lighting fixtures and poles to be installed as part of the Project; and
WHEREAS, the construction costs for the Project shall be comprised of municipal and
county state aid funds, and local funds; and
WHEREAS, the County and the City have also been negotiating to underground overhead
power lines in conjunction with the Project; and
WHEREAS, the City will enter into a contract with Xcel Energy to underground overhead
power lines; and
WHEREAS, the County has Roadside Enhancement Partnership Program (REPP) funds
available and has expressed willingness to participate in the costs to underground overhead
power lines; and
WHEREAS, the County and the City have also been negotiating to install additional storm
sewer along Josephine Lane, in conjunction with the Project via a separate municipal project,
hereinafter referred to as the "Storm Sewer Project"; and
WHEREAS, the City shall be responsible to develop the plans and administer the Storm
Sewer Project, and the County has expressed willingness to participate in the costs of the Storm
Sewer Project; and
WHEREAS, the County will participate in the construction costs of the Storm Sewer
Project; and
WHEREAS, it is contemplated that said work be carried out by the parties hereto under
the provisions of Minnesota Statutes 2005, Section 162.17, Subdivision 1 and Section 471.59.

NOW THEREFORE, IT IS HEREBY AGREED:
The County will advertise for bids for the work and construction of the Project, receive and
open bids pursuant to said advertisement and will enter into a contract with the successful bidder
at the unit prices specified in the bid of such bidder, according to law. The contract will include
the plans and specifications prepared by the County, the City and the Commission, which said
plans and specifications are referenced and identified as S.A.P. 027-609-037 and S.A.P. 158-020-
005, and approved by the Minnesota Department of Transportation (MnDOT).
All design work performed by the City, the Commission or its agents that is to be
incorporated into the bidding documents for the Project shall be prepared and certified by a
Professional Engineer licensed in the State of Minnesota. All designs, which affect County
facilities, shall conform to MnDOT Design Standards applicable to County State Aid Highways.
All plans and specifications shall be made available to the County in a timely manner for periodic
review as requested by the County. All plans and specifications must meet the approval of the
County Engineer or a designated representative prior to being incorporated into the County's
plans for the Project.
The City and the Commission shall deliver to the County all original, reproducible,
certified final plan sheets and specifications to be incorporated into the County's bidding
documents. Reproducible final plan sheets shall be permanent drawings on reproducible 11 inch
by 17 inch sheets. The drafting on the plan sheets shall be of such size and quality as will permit
the making of readable, first class prints including clear reproduction of grid lines, symbols and
legends. No adhesive backed material shall remain on any final plan sheet. Bar scales shall be
used throughout the plan as necessary, It is understood and agreed that the City and Commission
may deliver plans sheets in an electronic format acceptable to the County in lieu of the above
stated reproducible final plan sheets.
The City and the Commission shall retain ownership of their respective original plans and
specifications prepared by it or its agents. Upon completion by the County of all reproductions
deemed necessary for bidding and construction purposes said original plans and specifications
shall be returned to the City and Commission respectively.
II
The County will administer the contract and inspect the construction of all the contract
work contemplated herewith. However, the City Engineer and the Commission's Engineer or
designated representatives shall have the right, as the work progresses, to enter upon the job site
to make any inspections deemed necessary and shall cooperate with the County Engineer and
staff at their request to the extent necessary, but will have no responsibility for the supervision of
the work.
The City and the Commission agree that the County may make changes in the plans or in

the character of said contract construction which is reasonably necessary to cause said
construction to be in all things performed and completed in a satisfactory manner. It is further
agreed by the City and Commission that the County may enter into any change orders or
supplemental agreements with the County's contractor for the performance of any additional
construction or construction occasioned by any necessary, advantageous or desirable changes in
plans, within the original scope of the Project. Said changes may result in an increase or
decrease to the City and Commission costs participation estimated herein.
The City and the Commission shall have the right to review any proposed changes to the
plans and specifications as they relate to the City's and Commission's cost participation prior to
the work being performed. The City Engineer and Commission's Engineer or designated
representatives shall have the right to approve any change orders or supplemental agreements
prepared by the County that affect the City's and Commission's share of the construction cost.
The City and Commission further agree that it will participate in the settlement of any
claims from the County's contractor that involve delays attributable to unreasonable delays in
approval by the City or Commission for plan or specification changes deemed necessary by the
County Engineer or staff. The amount of City or Commission participation in any such claims
shall be commensurate with the percentage of delay directly attributable to the City's or
Commission's actions.
III
The City and Commission shall participate in the costs of the contracted construction work
for the Project as set forth in the Division of Cost Summary in said Exhibit "A". The respective
proportionate shares of the pro-rata pay items included in Exhibit "A" shall remain unchanged
throughout the life of this Agreement. It is understood that the estimated amount on Page I of
this Agreement and as shown in Exhibit "A" is an estimate of the costs for the contracted
construction work on said Project and that the unit prices set forth in the contract with the
successful bidder and the final quantities as measured by the County Engineer's designated
representatives shall govern in computing the total final contract construction cost for
apportioning the cost of said Project according to the provisions herein. It is further understood
and agreed that the final quantities as measured by the County Engineer's designated
representatives for contract pay items in which the City and Commission are participating shall
be subject. to the review and approval by the City Engineer and the Commission's Engineer.
IV
The County or its agents shall acquire all additional right of way, permits and/or easements
required for the construction of the Project with the exception of the Department of Health
permits required for the water systems included in the Project. Said Department of Health
pen -nits shall be the responsibility of the City and Commission respectively.
The City shall reimburse the County for fifty (50) percent of the final cost of all additional
right of way, permits and/or easements required for the construction of the Project, plus all costs
incurred by the County in acquiring said right of way, permits and/or easements. For
informational purposes only and as shown in Exhibit "A", it is estimated that the City will pay

the County $600,000.00 as its share of said costs.
It is understood and agreed that if parcels are acquired in total, the County will use its best
efforts to sell at the most favorable price those portions of said parcels which are not required for
the Project. The proceeds from such sales shall be shared equally by the City and the County.
The acquisition costs incurred by the County as described herein shall include, but are not
limited to the following:
• monies paid to property owners, or on behalf of property owners, as part of negotiated
settlements
• costs incurred with obtaining property through, and compliance with, Minnesota Statute
Chapter 117 (eminent domain), including all damages and awards resulting there from
• relocation expenses, including the costs of consultants used therefore
• appraisals and appraisal services
• title opinions and updates
• document searches (judgment, name title, etc)
• closing, conveyance and recordation fees and taxes
• costs to maintain, provide security for, or remove and dispose of vacant property, and any
improvements thereon
• costs incurred for the relocation, reconstruction, adjustment, and/or removal of existing
private or public utility conduits or other structures located in or upon lands acquired and
within present right of way when existing valid casements and/or permits provide for
reimbursement to the utility owner for the relocation, reconstruction, adjustment, and/or
removal of the existing utility facilities (or when a court of competent jurisdiction
determines that the Cities or County is obliged to pay such amounts)
The City will pay its share of the right of way costs as part of the payment schedule
described in Article XIII of this Agreement.
Damages, as used in this section, pertains to acquisition costs allowed by Minnesota Statutes
Chapter 117 and does not abrogate the meaning of the language set forth elsewhere in this
Agreement.
It is understood that the City shall waive all city utility fees including but not limited to
sewer, water, recycling and lighting fees for the properties acquired in total as part of the Project.
It is understood and agreed that the City shall convey property rights to the County over
those lands owned by the City that are required for the Project. Said property rights shall be
granted at no cost to the County.
It is understood by the parties that the County will acquire in total the property located at
the northwest corner of the intersection of CSAH 9 and Chowen Avenue North (3606 Lake
Drive), said property being within the limits of the Project and commonly referred to as the
"Gold Medal" property. It is understood and agreed that upon completion of the Project the
County will convey to the City those portions of said property not required for the Project, said

conveyance being at no cost to the City. It is further understood and agreed that should the City
sell this property the proceeds from the sale shall be shared equally by the City and the County.

The County, at its sole cost and expense, has conducted a Phase 1 Environmental
Assessment (ESA) on the Project. In the event a Phase 11 ESA is required on any parcel, it is
hereby understood and agreed that the City shall reimburse the County for all costs incurred by
the County for the completion of said future Phase 11 ESA at the same percentage used to acquire
the parcel. If any such Phase II ESA identifies contamination within the new right of way for the
Project that must be abated, the County will hire consultants and contractors as necessary to
perform the necessary abatement of the roadway right of way and obtain approval of the
Minnesota Pollution Control Agency. Any such abatement required may be accomplished under
a separate project or may be included in the Project.
The County will investigate and exhaust all available options for payment of costs incurred
related to the aforereferenced Phase II ESA. This includes, but is not limited to, responsible
parties and governmental agencies. The City hereby agree to reimburse the County, at the same
percentage used to acquire the parcel, all costs incurred by the County for the completion of the
aforereferenced environmental work performed on parcels associated with this Project for which
the County does not receive reimbursement from other sources.
The City will pay its share of the costs of said environmental work as part of the payment
schedule described in Article XIII of this Agreement.
VI
The City and Commission shall reimburse the County for their shares of the construction
costs of the Project as set forth in said Division of Cost Summary in Exhibit "A". The respective
proportionate shares of the pro-rata pay items included in Exhibit "A" shall remain unchanged,
throughout the life of this Agreement. It is further agreed that the Engineer's Estimate referred to
on page 1 of this Agreement is an estimate of the construction cost for the contract work on said
Project and that the unit prices set forth in the contract with the successful bidder and the final
quantities as measured by the County Engineer shall govern in computing the total final contract
construction costs for apportioning the costs of said Project according to the provisions herein.
VII
In addition to the aforesaid City's proportionate shares of the contracted construction costs
for the Project, the City agrees to pay to the County for its share of the engineering design costs
for the Project, as set forth in said Division of Cost Summary in Exhibit "A". The City's share of
the design engineering costs shall be equal to ten (10) percent of the total final amount of the
City's share of contract construction costs for the Project except for those City utility
construction costs shown in the "Non -Participating Robbinsdale Local" column in the attached
Exhibit "A". The City's share of the design engineering for these costs shall be equal to five (5)
percent of the total final amount of said column. It is understood that said reduced design
engineering is in recognition of City staff effort in the design of the city utilities included in the

Project. It is further understood by the parties that the City will not be charged design engineering
costs for the City designed lighting included in the Project.
The County agrees to pay to the Commission ten (10) percent of the County's share of the
contracted construction costs associated with the Commission's twenty four inch watemnain
included in the Project, as its share of the engineering design costs performed by the Commission
for the Project and as set forth in the Division of Cost Summary in Exhibit "A".
Similarly, the City and Commission agrees to reimburse the County for the City's and
Commission's proportionate share of the construction engineering costs for the Project.
The City's share of the construction engineering costs shall be equal to eight (8) percent of
the total final amount of the City's share of contract construction costs for the Project except for
those City utility construction costs shown in the "Non -Participating Robbirnsdale Local" column
in the attached Exhibit "A". The City's share of the construction engineering for these costs shall
be equal to three (3) percent of the total final amount of said column. It is understood that said
reduced construction engineering is in recognition of City staff being on site during installation
of the city utilities included in the Project.
The Commission's share of construction engineering costs shall be equal to eight (8)
percent of the total final amount of the Commission's share of contract construction costs for the
Project.
The amount of the City's and Commission's shares in the contract administration costs is
estimated in Exhibit "A". It is understood that the City's and Commission's proportionate share
shown in Exhibit "A" is an estimate and that the actual City's and Commission's proportionate
shares of the contract administration costs will be computed using the total final amount of the
City's and Commission's share of the contract construction costs for the Project.
After an award by the County to the successful bidder on the Project, the County shall
invoice the Commission for fifty (50) percent of the estimated Commission's shares in the
contract construction costs and ninety five (95) percent of the estimated Commission's shares in
the engineering costs for the Project. Upon completion of fifty (50) percent of the Project, the
County shall invoice the Commission for forty five (45) percent of said estimated Commission's
shares in the contract construction costs. Payments shall be made to the County, in the name of
the Hennepin County Treasurer, by the Commission for the full amount due stated on the
invoices within forty five (45) days of the invoice date. Said estimated Commission shares shall
be based on actual contract unit prices applied to the estimated quantities shown in the plans.
In the event the County Engineer or the County's staff determines the need to amend the
construction contract with a supplemental agreement or change order which results in an increase
in the contract amount for the Project, the Commission hereby agrees to remit within forty five
(45) days of notification by the County of said change an amount equal to ninety five (95) percent
of the estimated Commission's shares as documented in the supplemental agreement or change
order.

The remainder of the Commission's respective shares in the engineering and contract
construction costs of the Project, including additional costs resulting from supplemental
agreements and change orders, will be due the County upon acceptance by the County's
construction engineer of all the construction work performed by the County's construction
contractor and submittal of the County Engineer's final estimate for the Project to the
Commission.
Upon final payment to the Project contractor by the County, any amount remaining as a
balance in the deposit account will be returned to the Commission, within 45 days, on a
proportionate basis based on the Commission's initial deposit amount and the Commission's
final proportionate share of the Project costs. Likewise, any amount due the County from the
Commission upon final payment by the County shall be paid by the Commission as its final
payment for the construction and engineering costs of the Project within forty five (45) days of
receipt of an invoice from the County.
IX
As shown in Exhibit "A", the City's estimated share of construction costs for the Project is
currently estimated to be $4,749,218.70. Similarly, the City's estimated share of engineering
costs for the Project is currently estimated to be $526,023.89. It is understood by the parties that
the City's share of the contract construction and engineering costs for the Project will be based
on actual contract unit prices applied to the actual quantities as determined by the County
Engineer or the County's staff. It is further understood by the City that in the event the County
Engineer or the County's staff determines the need to amend the construction contract with a
supplemental agreement or change order, said supplemental agreements or change orders may
result in an increase or decrease in the City's contract construction and engineering costs for the
Project. The City will pay its share of construction and engineering costs as part of the payment
schedule described in Article XHI of this Agreement.
X
The County will supply the traffic signal cabinet, controller and control equipment,
including the emergency vehicle preemption (EVP) cards, and video detection equipment
(County Supplied Equipment) for the traffic control signal system installed as a part of the
Project. The City shall reimburse the County for its share of the County Supplied Equipment as
.set forth in said Division of Cost Summary in Exhibit "A": The estimated cost to the City for
said County Supplied Equipment is Twenty Five Thousand Dollars and No Cents ($25,000.00).
The City will pay its share of the costs for the County Supplied Equipment as part of the payment
schedule described in Article XIII of this Agreement.
It is further agreed that said estimate of the costs of the County supplied equipment is an
estimate and that the actual quantities of equipment, as determined by the County Engineer shall
govern in computing the total final cost to the City.
Similarly, the City will supply the street lighting fixtures and poles (City Supplied
Equipment) to be installed as part of the Project. The estimated cost to the County for said City

Supplied Equipment is Thirty Two Thousand Five Hundred Dollars and No Cents ($32,500.00).
The City will invoice the County for said City Supplied Equipment and payment shall be made to
the City by the County for the full amount due stated on the invoice within forty five (45) days of
the invoice date.

It is understood by the parties hereto that the City will entered into a contract with Xcel
Energy for undergrounding overhead power lines. It is understood that all work to be performed
by Xcel Energy shall be done either in conjunction with or prior to the start of the construction
activities of the Project. It is further understood and agreed that it shall be the responsibility of
the City to require Xcel Energy to coordinate its activities with the County's construction
contractor for the Project.
The County, through its Roadside Enhancement Partnership Program (REPP), will
participate in a proportionate share of the costs to underground overhead power lines. As set
forth in the County's Cost Participation Policy the County's proportionate share of the costs
eligible for this funding source shall be fifty (50) percent and shall not exceed $500,000 per
center line mile. It is understood by the City that County's maximum cost participation in its
share of the costs to underground overhead power lines shall be $498,500 ($500,000 multiplied
by 0.997 miles). Included in Exhibit "A" is the estimated amount of $498,500, which represents
the County's estimated share of the costs.
The County's share in Xcel Energy's costs to underground overhead power lines as
provided for herein will be directly paid to the City by the County and will not be addressed as
credits applied to the City's proportionate share of the costs for the Project. Upon completion of
the work by Xcel Energy and acceptance of the work by the County Engineer or a designated
representative, the City shall invoice the County for one hundred (100) percent of the County's
share of the costs. Within forty five (45) days after receipt of said invoice, the County shall
deposit with the City said County share.
X1I
The City shall develop all the necessary construction plans, specifications and proposals,
for the herein defined Storm Sewer Project.
The Storm Sewer Project shall each include the plans and specifications prepared by the
City or its agents and approved by the County and by the Minnesota Department of
Transportation Division of State Aid for Local Transportation. It is understood that all work to
be performed under the Storm Sewer Project shall be done upon completion of the construction
activities of the Project.
The City shall administer the Storm Sewer Project and shall perform the required
engineering, inspection and testing for the Storm Sewer Project. The County Engineer and staff
shall have the right, as work progresses, to make any inspections deemed necessary, but will have
no responsibility for supervision of the work.

The County will participate in the costs of the aforesaid Storm Sewer Project. It is
understood and agreed that the County's participation in the costs of the Storm Sewer Project
shall be 50 percent of the costs up to a maximum of $30,000.00. For informational purposes
only, the estimated cost of the Storm Sewer Project is $55,000,00.
The County's participation in the Storm Sewer Project costs will be directly paid to the
City and will not be addressed as credits applied to the City's proportionate share of the costs for
the Project. Upon completion of the Storm Sewer Project, the City shall invoice the County for
one hundred (100) percent of the County's participation in the costs of the Storm Sewer Project.
Said invoice shall document, to the satisfaction of the County, the City's costs for the Storm
Sewer Project. Within forty five (45) days after receipt of said invoice, the County shall deposit
with the City, said County share of the costs.
XIII
The proportionate shares of the various costs associated with said Project have been
identified and set forth in Articles III through XII of this Agreement. All of the aforereferenced
costs are included in tabular format in Exhibit "A". As summarized in Exhibit "A", the
estimated amount that the City is to pay the County as a result of this Agreement is
$6,676,070.10. Also, as summarized in Exhibit "A", the estimated amount that the Commission
is to pay the County as a result of this Agreement is $1,269,244.88. It is understood and agreed
that said payment amounts are estimates and that the actual payment amounts shall be based on
actual costs and contract unit prices, as specified elsewhere throughout this Agreement.
It is understood and agreed by the City and the County that the City shall pay the County
for its share of all Project costs described in this Agreement and as shown in Exhibit "A"
(contract construction costs, engineering costs, right of way costs, environmental studies and
County Supplied Equipment), on the following dates and in the following amounts:
July 1, 2014 - $2,852,280.27
July 1, 2015 - $2,187,343.19
July 1, 2016 - $480,501.79
July 1, 2017 - $288,986.21
July 1, 2018 - $288,986.21
July 1, 2019 - $288,986.21
July 1, 2020 - $288,986.21
Total - $6,676,070.10
Notwithstanding anything to the contrary herein, the parties agree and understand that the
final payment on July 1, 2020 will be adjusted to reflect final actual costs in each of the
categories of expenditure described in this Agreement and as shown in Exhibit "A".
Payments by the City for all Project costs shall be made to the County, in the name of the
Hennepin County Treasurer, by the City for the full amount due on each July 1 in the years stated
above, subject to adjustment in the amount due on July 1, 2020 as described above.

percent per month, or fraction thereof, on the unpaid balance will be charged to the City. The
Cities shall pay the amount due as stated on the statement, notwithstanding any dispute of such
amount. Should a disputed amount be resolved in favor of the City, the County shall reimburse
the disputed amount plus daily interest thereon calculated from the date such disputed amount
was received by the County. Daily interest shall be at the rate of one (1 %) percent per month on
the disputed amount.
All payments to the County must be postmarked by the date due or a late penalty of one
(1) percent per month, or fraction thereof, on the unpaid balance will be charged to the
Commission. The Commission shall pay the amount due as stated on the statement,

XV
All records kept by the City, the Commission and the County with respect to the Project
shall be subject to examination by the representatives of each party hereto.
XVI
The County reserves the right not to issue any permits for a period of five (5) years after
completion of the Project for any service cuts in the roadway surfacing of the County Highways
included in said Project for any installation of underground utilities which would be considered
as new work; service cuts shall be allowed for the maintenance and repair of any existing
underground utilities.

XVII
As part of the Project, "No -Parking" signs shall be installed as represented in the plans and
the City, at their expense, shall provide the enforcement for the prohibition of on -street parking
on those portions of CSAH 9 constructed under this Project recognizing the concurrent
jurisdiction of the Sheriff of Hennepin County.
Any modification of the above parking restrictions shall not be made without first
obtaining a resolution from the Hennepin County Board of Commissioners permitting said
modification.
It is further agreed that the City shall, at their own expense, remove and replace city owned
signs that are within the construction limits of said Project if requested by the County's Project
Engineer.
XVIII
The City shall install, cause the installation of, or perpetuate the existence of an adequate
three wire, 120/240 volt, single phase, alternating current electrical power connection to the
permanent traffic control signal, flashers and integral street lights included in the Project at no cost
to the County. Further, the City shall provide the electrical energy for the operation of the traffic
control signal, flashers and integral streetlights included in the Project at no expense to the County.
It is understood by the parties that the County or its agents will provide a traffic signal
service cabinet designed for battery backup in case of electrical power outages. It is understood
that the City or its agents will be responsible for providing the initial batteries, inverter and
cabling for the service cabinet needed to make the battery backup system operational. It is
further understood and agreed that replacement batteries shall be the responsibility of the City.
XIX
The City shall not revise by addition or deletion, nor alter or adjust any component, part,
sequence, or timing of the aforesaid traffic control signal, however, nothing herein shall prohibit
prompt, prudent action by properly constituted authorities in situations where a part of such
traffic control signals may be directly involved in an emergency.
XX
Upon completion of the Project the County shall thereafter maintain and repair the traffic
control signal systems installed as a part of the Project, all at the sole cost and expense of the
County. Said maintenance shall include all EVP components. Further, the County, at its
expense, shall maintain the wire to the line side of the fuse in the base of the signal poles for the
integral streetlights. The City, at its expense, shall maintain the fuse, the luminary and the wire
to the load side of the fuse in the base of the signal poles.
The EVP Systems provided for herein shall be installed, operated, maintained or removed
in accordance with the following conditions and requirements:

1. Emitter units may be installed and used only on vehicles responding to an emergency as
defined in Minnesota Statutes Chapter 169.01, Subdivision 5 and 169.03. The City will
provide the County Engineer or his designated representative a list of all such vehicles
with emitter units.
2. Malfunctions of EVP Systems shall be reported to the County immediately.
3. In the event said EVP Systems or components are, in the opinion of the County, being
misused or the conditions set forth herein are violated, and such misuse or violation
continues after receipt by the City of written notice thereof from the County, the County
shall remove the EVP Systems. Upon removal of the EVP Systems pursuant to this
paragraph, the field wiring, cabinet wiring, detector receivers, infrared detector heads,
indicator lamps and all other components shall become the property of the County.
4. All timing of said EVP Systems shall be determined by the County.
M
It is understood and agreed that upon completion of the Project, all water distribution
system components, sanitary sewer systems, concrete sidewalk, lighting and all municipal street
construction included in said improvement shall be the property of the City and all maintenance,
restoration, repair, replacement or other work or services required thereafter shall be performed
by the City at no expense to the County.
Notwithstanding the maintenance responsibilities of the City as specified in the previous
paragraph, it is further understood and agreed that upon completion of the Project, all streetscape,
landscaping and associated landscaping structures, plantings and turf, shown in the plans for the
Project, shall become the responsibility of the City and all maintenance, restoration, repair,
replacement or other work or services required thereafter shall be performed by the Cities at no
expense to the County. It is further understood and agreed that said streetscape, landscaping and
associated landscaping structures shall be maintained by the City in accordance with the attached
"HENNEPIN COUNTY DEPARTMENT OF PUBLIC WORKS - TRANSPORTATION
DIVISION; RECOMMENDED URBAN LANDSCAPE/STREETSCAPE GUIDELINES"
(marked Exhibit "B") which by this reference is made a part hereof.
Upon completion of the Project the County shall, at its own cost and expense, retain
ownership and maintenance responsibilities for those portions of the roadway storm sewer
drainage system functioning as catch basins and associated lead pipes that are within or between
the outermost curb lines of the County roadways as well as those within the radius return limits of
intersecting municipal streets. All other components of the roadway storm sewer drainage system,
constructed as a part of this Project including but not limited to all trunk lines, drainage structures,
ponds, storm water treatment structures and cross road culverts, shall become the property of the
City and shall be maintained by the City. In the event, at any time in the future, the storm water
trunk lines constructed as a part of this Project are reconditioned and/or replaced, the costs of
reconditioning and/or replacement shall be apportioned between the County and City by
contributing flow,

It is further understood and agreed that upon completion of the Project all routine
maintenance on the retaining walls and retaining wall fencing constructed as a part of the Project
shall not be the responsibility of the County.
It is understood and agreed that upon completion of the Project, the afore referenced twenty
four inch watermain and attached support structure included in the Project shall remain the
property of the Commission and all maintenance, restoration, repair, replacement or other work or
services required thereafter shall be performed by the Commission at no expense to the County.
It is understood by the parties hereto that the term `upon completion of the Project' as used
in this agreement shall be defined as acceptance by the County's construction engineer of the
construction work performed by the County's construction contractor that is to be maintained by
the City and Commission as specified herein. All questions of maintenance responsibilities that
may arise shall be jointly resolved by the City Engineer or the Commission's Engineer and the
County's Road and Bridge Operations Division Engineer.
F..W
It is hereby understood that the County may store snow removed from the CSAH 9
roadway behind the face of curb. The City, at its discretion, will remove snow that may be
placed on the sidewalks and/or pedestrian/bicycle paths, as a result of the County's snow removal
operations on CSAH 9 within the limits of the Project. This paragraph is not intended to confer a
benefit upon any third party and the City's decision to remove snow from the sidewalk and/or
paths shall be made by the City in its sole discretion pursuant to its policy on removal of snow
and ice from its sidewalks and/or pedestrian/bicycle paths and trails.
It is further understood that the paragraph titled "Operational Clear Zone" on sheet
number five of the attached Exhibit "B" is hereby deleted.
XXIII
The City agrees to defend, indemnify and hold harmless the County and Commission, their
officials, officers, agents, volunteers and employees, from any liabilities, claims, causes of action,
judgments, damages, losses, costs or expenses, including, reasonable attorneys' fees, resulting
directly or indirectly from any act or omission of the City, its contractors, anyone directly or
indirectly employed by them, and/or anyone for whose acts and/or omissions they may be liable
related to the ownership, maintenance, existence, restoration, repair or replacement of the afore
defined City owned improvements constructed as part of said Project. The City liability shall be
governed by the provisions of Minnesota Statutes, Chapter 466 or other applicable law.
The Commission agrees to defend, indemnify and hold harmless the County and City, their
officials, officers, agents, volunteers and employees, from any liabilities, claims, causes of action,
judgments, damages, losses, costs or expenses, including, reasonable attorneys' fees, resulting
directly or indirectly from any act or omission of the Commission, its contractors, anyone directly
or indirectly employed by them, and/or anyone for whose acts and/or omissions they may be
liable related to the ownership, maintenance, existence, restoration, repair or replacement of the

afore defined Commission owned improvements constructed as part of said Project. The
Commission liability shall be governed by the provisions of Minnesota Statutes, Chapter 466 or
other applicable law.
The County agrees to defend, indemnify, and hold harmless the City and the Commission,
their officials, officers, agents, volunteers, and employees from any liability, claims, causes of
action, judgments, damages, losses, costs, or expenses, including reasonable attorneys' fees,
resulting directly or indirectly from any act or omission of the County, its contractors, anyone
directly or indirectly employed by them, and/or anyone for whose acts and/or omissions they may
be liable related to the construction of the Project, or related to the ownership, maintenance,
existence, restoration, repair or replacement of County owned improvements constructed as part
of said Project. The County's liability shall be governed by the provisions of Minnesota
Statutes, Chapter 466 or other applicable law.

Each party agrees that it will be responsible for its own acts and the results thereof, to the
extent authorized by the law, and shall not be responsible for the acts of the other party and the
results thereof. The City's, the Commission's and the County's' liability is governed by the
provisions of Minnesota Statutes, Chapter 466.
The City, the Commission and the County each warrant that they are able to comply with
the aforementioned indemnity requirements through an insurance or self-insurance program.
XXV
It is agreed that any and all employees of the City and all other persons engaged by the City
in the performance of any work or services required or provided for herein to be performed by
the City shall not be considered employees of the County or the Commission, and that any and all
claims that may or might arise under the Minnesota Economic Security Law or the Workers'
Compensation Act of the State of Minnesota on behalf of said employees while so engaged and
any and all claims made by any third parties as a consequence of any act or omission on the part
of said employees while so engaged on any of the work or services provided to be rendered
herein shall in no way be the obligation or responsibility of the County or the Commission.
Also, it is agreed that any and all employees of the Commission and all other persons
engaged by the Commission in the performance of any work or services required or provided for
herein to be performed by the Commission shall not be considered employees of the County or
the City, and that any and all claims that may or might arise under the Minnesota Economic
Security Law or the Workers' Compensation Act of the State of Minnesota on behalf of said
employees while so engaged and any and all claims made by any third parties as a consequence
of any act or omission on the part of said employees while so engaged on any of the work or
services provided to be rendered herein shall in no way be the obligation or responsibility of the
County or the City.
Also, it is agreed that any and all employees of the County and all other persons engaged
by the County in the perfonnance of any work or services required or provided for herein to be

omission on the part of said employees while so engaged on any of the work or services provided
to be rendered herein shall in no way be the obligation or responsibility of the Commission or the
City.
XXVI
In order to coordinate the services of the County with the activities of the City and the
Commission so as to accomplish the purposes of this Agreement, the Hennepin County Engineer
or designated representative shall manage this Agreement on behalf of the County and serve as
liaison between the County, the Commission and the City.

XXVIII
It is understood and agreed that the entire Agreement between the parties is contained
herein and that this Agreement supersedes all oral agreements and negotiations between the parties
relating to the subject matter hereof All items referred to in this Agreement are incorporated or
attached and are deemed to be part of this Agreement.
Any alterations, variations, modifications, or waivers of provisions of this Agreement shall
only be valid when they have been reduced to writing as an amendment to this Agreement signed
by the parties hereto.

The provisions of Minnesota Statutes 181.59 and of any applicable local ordinance relating
to civil rights and discrimination and the Affirmative Action Policy statement of Hennepin
County shall be considered a part of this Agreement as though fully set forth herein.

INTRODUCTION
Hennepin County Department of Public Works' Transportation Division (Division)
has as a delegated function and responsibility to maintain a system of
roadways that provide transportation for residents of the County in a safe,
efficient manner. Year around safety requires adequate sight distances and a
minimum operational clear zone that can also accommodate snow storage. The
Division has prepared this Recommended Urban Landscape/Streetscape Guidelines
(Guidelines) to more consistently and thoroughly respond to questions about
urban landscape/streetscape design practices.
All landscape/streetscape plans must be prepared and signed in accordance with
the Board of Architecture, Engineering, Land Surveying, Landscape Architecture
and Interior Design. The City Engineer shall also approve and sign the title
or cover sheet for those landscape/streetscape plans. The City Engineer must
also evaluate sight distances along the project and assure the Division,. in a
report, that sight distances are adequate.
The placement of obstacles or fixed objects, such as structures, trees, etc.,
within Hennepin County's right of way shall be cause for the Municipality to
assume legal liability and additional maintenance responsibility through a
Cooperative Agreement.
RECOMMENDED GUIDELINE CRITERIA
The following is an alphabetical listing of the Division's recommended
guidelines for landscape/streetscape design. The criteria listed is not all
inclusive or necessarily complete. Requests for more clarification should be
addressed to the Division Engineer or his/her designee. Figure 1 at the end
of this document contains a summarization of the recommended operational clear
zone guidelines.
O Boulevard
The Division prefers a low maintenance boulevard. Snow and ice control
methods may prevent the survival of some desired vegetation. The
Municipality has the responsibility for mowing and the maintenance of
facilities behind the curb.

9 Crosswalks
Crosswalks shall conform to the Minnesota Manual on Uniform Traffic Control
Devices (MMUTCD).
The County's standard crosswalk is a block type pattern, painted white, on
top of bituminous or concrete pavement. Municipalities have the responsi-
bility to maintain pavement crosswalk markings. after the initial painting.
Non-standard crosswalk surfaces (such as decorative brick, colored
aggregate, etc.) shall require prior approval by the Division.
Municipalities shall have the responsibility to install and maintain any
crosswalk surface, as well as the abutting material, if the crosswalk
surface .is not consistent with the road surface. The municipality shall
also indemnify the County for the use of a non-standard crosswalk surface.
Curb
Curb design must conform to Hennepin County's Standard Design and the State
Aid manual. Curb and pedestrian ramps must comply with the Americans With
Disabilities Act (ADA).
® Irrigation
Water from irrigation systems shall not flow or spray onto the traveled
roadway or onto any County owned structures such as traffic signal
components and signage. Concrete gutters shall collect excess water from
irrigation systems and not allow water to flow across roadways (gutter in).
Effects of subgrade saturation shall be addressed when irrigation systems
are proposed. Provisions, such as perforated pipe, shall be included for
the pickup and disposal of irrigation water.
The Division will not allow an open cut for installation or maintenance of
irrigation piping within three years of construction, so consideration
should be given to installing irrigation piping within a sleeve for "roadway
crossings. Maintenance and repair of the irrigation system is the
responsibility of the owner.
Landscaping/Streetscapina
Roadway gebmetrics and driver sight distances shall be considered when
installing landscape items. A report indicating adequate sight distances
have been maintained is required for all access points along the project.
The report should consider all elements obstructing a driver's vision such
as trees, shrubs, plantings/planters, structures, etc.
Any loose landscaping material, such as bark, must have an adequate means
of containment that will prevent the material from spilling onto the
roadway or sidewalk. The Municipality shall be responsible for maintaining
such material, if installed, and for removing the material from the roadway
or sidewalk if the material spills onto those surfaces. Loose landscape
rock is not permitted within Hennepin County's right of way because of
problems caused during mowing, etc.

The Municipality or owner has the responsibility to trim all plantings and
to maintain visibility.
Hennepin County's responsibility for landscape/streetscape restoration,
after any County activity, shall be limited to top soil, sod or seed.
Restoration of specialty landscape/streetscape items, sidewalks and
plantings shall be the responsibility of others.
The Division prefers traffic control signage to be located behind the
sidewalk. Landscape/streetscape should not obstruct the view of signage.
Landscape/streetscape should make allowances for placement or future
expansion of utilities within the right of way.
Traffic control during maintenance of landscaping shall comply with MMUTCD
for traffic control.
9 Medians
The Division can supply typical design standards for raised and depressed
medians. Median drainage is a concern of the Division and should be
discussed with the Division's Design Section. The Division's guideline
does not allow planting trees within the median unless there is the minimum
operational clear zone for the posted speed limit (see Operational Clear
Zone).
Plantings, including raised planting beds, in medians shall not be higher
than 3 feet from the bottom of the curb gutter line, however, sight lines
must still be checked. Plantings should be kept as far back from the face
of curb as possible to minimize disturbance due to snow plowing (see also
Irrigation). If the Municipality proceeds with placing plantings within
Hennepin County right of way, then the Municipality has the responsibility
to trim plantings to maintain sight lines.
e Operational Clear Zone
To facilitate the safe operation and maintenance of a roadway facility, an
operational clear zone is required. Encroachment into the operational
clear zone causes safety and maintenance concerns.
The Division standard provides an operational clear zone of 6 feet from the
face of curb where posted speeds are 35 miles per hour (MPH) or less. For
speeds greater than 35 MPH to 45 MPH, the Division standard provides a 10
foot operational clear zone. The required operational clear zone for
speeds over 45 MPH shall be analyzed on an individual basis by the Division
(see Figure 1).
o Right of Way
Streetscape/land scape items within the County's right of

® Sidewalks.
The Division recommends a sidewalk with a minimum 5 foot width and prefers
the sidewalk be placed 6 feet from the face of curb to accommodate snow
storage.
® Signals, Signing and other Traffic Control Devices
All traffic control devices must comply with MMUTCD.
For urban cross sections, the Division recommends traffic signs be placed
at least 6 feet from the face of curb to the edge of sign. Sign placement
is preferred behind the sidewalk. The location of utilities should be
considered with regard to future sign placement. In areas where there is
no sidewalk, clearance to the signage should be at least 6 feet from the
curb or edge of shoulder to allow for snow storage and/or future
sidewalk(see Snow Storage).
Landscape/streetscape should not obstruct the view of signage.
Traffic signals shall have the Division's standard type and color. Any
other color scheme requires prior review and approval by the Division and
require the Municipality to maintain the paint system at no cost to the
Division. Lead based paint shall not be used. Paint must comply with
current Mn/DOT specifications.
® Snow Storage
The Division requires minimum operational clear zones for snow storage
along the side of the road based on the posted speed limit. The
requirement of an operational clear zone for snow storage, allows the
Division to efficiently clear roads of snow and help maintain the road's
traffic carrying capacity. Inadequate snow storage will reduce lane
widths., adversely affect traffic handling capacity of the road and prevent
trucks from using the partially blocked traffic lane. Roads that are not
cleared of snow along the curb to the storm drain can also cause drainage
problems when the snow melts.
The Division may require that the Municipality obtain an easement if there
is inadequate snow storage available within the right of way as a result of
landscape/streetscape structure placement. In areas where
landscape/streetscape structures cause inadequate room to store snow off
the road, the Municipality will be required to either move or haul away the
snow (see Introduction for legal liability and maintenance requirements).
• Street Lighting
Street lighting must be functional and meet appropriate standards for
illumination. Special consideration should h-- givan to eliminating glare
and shadows. Questions on lighting should b: re•r3rred to the Division's
Design Section.

e Trees
Trees, in general, can obstruct the view of signs and signals. Prior to
the placement of any tree, sight lines should be evaluated that includes
consideration for fully mature trees and their canopies.
The Division standard does not sanction the planting of trees an County
right of way within the operational clear zone (see Operational Clear
Zone).
Planting coniferous trees is discouraged within Hennepin County's right of
way.
Tree grates in sidewalks or paved areas, unless properly installed and
maintained, can be a hazard to pedestrians, people with disabilities, and
snow removal operations, etc. The Municipality assumes all liability for
the placement of any tree grates or other obstacles within the County's
right of way.
Irrigation, if deemed necessary, should be limited to a trickle type system
(see Irrigation).

The Division's Permit Office shall be informed of all construction or
maintenance work within the County's road right of way. Traffic Control and
time of work must be approved by the Division prior to beginning any work.
(Example: Parking in a traffic lane during rush hour is not allowed.)

OLD BUSINESS: County Road 9 - Repayment Schedule and Pending Amendment to
Construction_ Cooperative Agreement — City Project 35212
26. McCoy reviewed the staff report noting that review of the bid tabulation seemed to show
evidence of front -loading some of the costs; options were reviewed; and although the
County couldn't assist with the bid amount, the County staff had supported extending
financing at 0% interest. He noted that the 2nd bidder had an even higher price for the
sanitary sewer work. He pointed out that last fall's bond sale does allow for the funds to
be expended across 3 years, and delay of the project is not desirable as the sanitary
main was installed in the 1920s and is a main line serving a large area of the city.
27. Member Selman asked why there were only 2 bidders. McCoy noted that there were
some other major sanitary sewer projects in the metro area that may have been more
desirable.
28. Member Backen indicated that the additional information provides comfort in proceeding.
29. Member Blonigan shared that the people at last week's open house are prepared for the
project and ready for it to proceed. He also noted that Hennepin County has been a
strong partner with the city on many other projects.
30. McCoy agreed that not being lead position on a project leads to complexity, and the State
Aid requirement limits the amount that can be attributed to mobilization on projects which
may have this type of unintended consequence of front -loading the first part of the
project. He confirmed that the LED lights will have individual sensors vs. all turning on
and off as a group.
31. Member Rogan MOVED, seconded by Member Blonigan to approve the proposed
repayment schedule for the County Road 9 project contingent upon County Board
approval of the schedule and subsequent modification to the Construction Cooperative

NEW BUSINESS A: Lee Park Ball Field Name and Features
32. Director of Administrative and Recreation Services Marshall reviewed the staff report
noting a request to name the ball field "Minnesota Twins MLB All Star Field" after major
contributors to the funding, and a request for installation of a brick pedestal recognizing
Cal Ripken.
33. Council provided feedback suggesting making room for the City of Robbinsdale as one of
the sponsors highlighted on the bottom line of the scoreboard. They suggested adding a
date somewhere on the pedestal and that the fonts used for the field name on the
scoreboard and the field name on the pedestal should match.
34. Marshall noted that the logos being sewn on to the field proved too costly but that the city
logo can be painted on the field behind home plate using a stencil plate.
35. Member Rogan MOVED, seconded by Member Backen to approve the name of the ball
field "Minnesota Twins MLB All Star Field", text/log design for the scoreboard, and design
and location behind the backstop fence for a brick pedestal, including suggestions for
inclusion of the City logo as a sponsor on the scoreboard, fonts, and year of the project.
36. Member Rogan noted this is a great collaboration for the City and will be an exciting new
field for us. Blonigan noted that the funding partners contributed $685,000 of the cost
which clearly met the requirement for field naming.
37. The vote was unanimous and the motion carried.
NEW BUSINESS B: Garbage and Recycling Collection and Billinq Ordinance
38. Finance Director Jacobson reviewed the staff report noting the ordinance adds recycling
and garbage as specifically assessable charges and requires the property owner's name
on the bill.
39. Council members recalled that this proposed change had been discussed last fall. It was
also confirmed that communication will be rolled out to property owners if the ordinance
moves forward and that a courtesy bill can be sent to the property address even though
the account would be in the owner's name and would not be changed as tenants change.
40. Member Rogan MOVED, seconded by Member Blonigan to hold the first reading of
Ordinance No. 14-10, "AN ORDINANCE AMENDING SECTION 705 RELATED TO
SEWER, WATER, AND OTHER SERVICE CHARGES; AND AUTHORZING

APPROVING COOPERATIVE AGREEMENT PW 41-03-13
HENNEPIN CASH 9 — CP 0623
WHEREAS, the Hennepin County Transportation Department is requesting the
Joint Water Commission (JWC) to approve the above Construction Cooperative
Agreement for the replacement of the 36-inch PCCP water main that brings water from
Minneapolis to the Crystal Reservoir with a 24-inch DIP water main, all as part of the
programmed reconstruction of County Road 9, and as shown in the construction plans
and specification for said roadway reconstruction project; and
WHEREAS, the JWC and support personnel have reviewed said document and is
in agreement with the requirements of said agreement.
NOW, THEREFORE, BE IT RESOLVED that the Joint Water Commission
hereby approves said agreement and authorizes the Commission Chair, Golden Valley

Summary
Joint Powers obtaining liability coverage from the League of Minnesota Cities Insurance Trust
must decide whether or not to waive the statutory tort liability limits to the extent of the
coverage purchased. Staff recommends that the Joint Water Commission does not waive the

Engagement Letter - Auditing Services for 2020 Fiscal Year

The 2021 General Fund Budget has $13,000 for professional services. The contract amount is
$10,250 for 2020 services. This amount is $250 more than 2019 contract.

Dear Board of Commissioners and Management:
We are pleased to confirm our understanding of the services we are to provide for the Golden Valley —
Crystal — New Hope Joint Water Commission (the Commission) for the year ended December 31, 2020.
We will audit the financial statements of the governmental activities, each major fund, and the budgetary
comparison for the General Fund, including the related notes to the financial statements, which collectively
comprise the basic financial statements of the Commission as of and for the year ended December 31, 2020.
Accounting standards generally accepted in the United States of America provide for certain required
supplementary information (RSI), such as Management's Discussion and Analysis (MD&A), to supplement
the Commission's basic financial statements. Such information, although not a part of the basic financial
statements, is required by the Governmental Accounting Standards Board (GASB) who considers it to be
an essential part of financial reporting for placing the basic financial statements in an appropriate
operational, economic, or historical context. If the Commission elects to present an MD&A or other RSI,
as part of our engagement, we will apply certain limited procedures to the Commission's RSI in accordance
with auditing standards generally accepted in the United States of America. These limited procedures will
consist of inquiries of management regarding the methods of preparing the information and comparing the
information for consistency with management's responses to our inquiries, the basic financial statements,
and other knowledge we obtained during our audit of the basic financial statements. We will not express an
opinion or provide any assurance on the information because the limited procedures do not provide us with
sufficient evidence to express an opinion or provide any assurance.
The introductory section accompanying the financial statements will not be subjected to the auditing
procedures applied in our audit of the financial statements, and our auditor's report will not provide an
opinion or any assurance on that other information.
We will perform the required State Legal Compliance Audit conducted in accordance with auditing
standards generally accepted in the United States of America and the provisions of the Legal Compliance
Audit Guide, promulgated by the State Auditor pursuant to Minnesota Statutes § 6.65, and will include such
tests of the accounting records and other procedures we consider necessary to enable us to conclude that,
for the items tested, the Commission has complied with the material terms and conditions of applicable
legal provisions.

We will also prepare a management letter for the Board of Commissioners and administration. This letter
will include certain required communications to governance, and may include such things as our concerns
regarding accounting procedures or policies brought to our attention during our audit, along with
recommendations for improvements.
Our services will not include an audit in accordance with the Single Audit Act Amendments of 1996 and
the Title 2 U.S. Code of Federal Regulations (CFR) Part 200 Uniform Administrative Requirements, Cost
Principles, and Audit Requirements for Federal Awards (Uniform Guidance), which would only be required
if the Commission expended $750,000 or more in federal assistance funds during the year. If the
Commission is required to have a Single Audit of federal assistance funds, this engagement letter would
need to be modified.
Audit Objectives
The objective of our audit is the expression of opinions as to whether your financial statements are fairly
presented, in all material respects, in conformity with U.S. generally accepted accounting principles and to
report on the fairness of the supplementary information referred to in the second paragraph when considered
in relation to the financial statements as a whole. Our audit will be conducted in accordance with U.S.
generally accepted auditing standards and the standards for financial audits contained in Government
Auditing Standards, issued by the Comptroller General of the United States, and will include tests of the
accounting records of the Commission and other procedures we consider necessary to enable us to express
such opinions. We will issue a written report upon completion of our audit of the Commission's financial
statements. Our report will be addressed to the Board of Commissioners and management of the
Commission. We cannot provide assurance that unmodified opinions will be expressed. Circumstances may
arise in which it is necessary for us to modify our opinions or add emphasis -of -matter or other -matter
paragraphs. If our opinions are other than unmodified, we will discuss the reasons with you in advance. If,
for any reason, we are unable to complete the audit or are unable to form or have not formed opinions, we
may decline to express opinions or issue reports, or may withdraw from this engagement.
We will also provide a report (that does not include an opinion) on internal control related to the financial
statements and compliance with the provisions of laws, regulations, contracts, and grant agreements,
noncompliance with which could have a material effect on the financial statements as required by
Government Auditing Standards. The report on internal control and on compliance and other matters will
include a paragraph that states (1) that the purpose of the report is solely to describe the scope of testing of
internal control and compliance, and the results of that testing, and not to provide an opinion on the
effectiveness of the entity's internal control on compliance, and (2) that the report is an integral part of an
audit performed in accordance with Government Auditing Standards in considering the entity's internal
control and compliance. The paragraph will also state that the report is not suitable for any other purpose.
If during our audit we become aware that Commission is subject to an audit requirement that is not
encompassed in the terms of this engagement, we will communicate to management and those charged with
governance that an audit in accordance with U.S. generally accepted auditing standards and the standards
for financial audits contained in Government Auditing Standards may not satisfy the relevant legal,
regulatory, or contractual requirements.

Audit Procedures — General
An audit includes examining, on a test basis, evidence supporting the amounts and disclosures in the
financial statements; therefore, our audit will involve judgment about the number of transactions to be
examined and the areas to be tested. An audit also includes evaluating the appropriateness of accounting
policies used and the reasonableness of significant accounting estimates made by management, as well as
evaluating the overall presentation of the financial statements. We will plan and perform the audit to obtain
reasonable assurance about whether the financial statements are free of material misstatement, whether
from (1) errors, (2) fraudulent financial reporting, (3) misappropriation of assets, or (4) violations of laws
or governmental regulations that are attributable to the government or to acts by management or employees
acting on behalf of the government. Because the determination of abuse is subjective, Government Auditing
Standards do not expect auditors to provide reasonable assurance of detecting abuse.
Because of the inherent limitations of an audit, combined with the inherent limitations of internal control,
and because we will not perform a detailed examination of all transactions, there is a risk that material
misstatements may exist and not be detected by us, even though the audit is properly planned and performed
in accordance with U.S. generally accepted auditing standards and Government Auditing Standards. In
addition, an audit is not designed to detect immaterial misstatements or violations of laws or governmental
regulations that do not have a direct and material effect on the financial statements. However, we will
inform the appropriate level of management of any material errors, fraudulent financial reporting, or
misappropriation of assets that comes to our attention. We will also inform the appropriate level of
management of any violations of laws or governmental regulations that come to our attention, unless clearly
inconsequential, and of any material abuse that comes to our attention. Our responsibility as auditors is
limited to the period covered by our audit and does not extend to later periods for which we are not engaged
as auditors.
Our procedures will include tests of documentary evidence supporting the transactions recorded in the
accounts, and may include tests of the physical existence of inventories, and direct confirmation of
receivables and certain other assets and liabilities by correspondence with selected individuals, funding
sources, creditors, and financial institutions. We will request written representations from your attorneys as
part of the engagement, and they may bill you for responding to this inquiry. At the conclusion of our audit,
we will require certain written representations from you about your responsibilities for the financial
statements; compliance with laws, regulations, contracts, and grant agreements; and other responsibilities
required by generally accepted auditing standards.
Audit Procedures — Internal Control
Our audit will include obtaining an understanding of the government and its environment, including internal
control, sufficient to assess the risks of material misstatement of the financial statements and to design the
nature, timing, and extent of further audit procedures. Tests of controls may be performed to test the
effectiveness of certain controls that we consider relevant to preventing and detecting errors and fraud that
are material to the financial statements and to preventing and detecting misstatements resulting from illegal
acts and other noncompliance matters that have a direct and material effect on the financial statements. Our
tests, if performed, will be less in scope than would be necessary to render an opinion on internal control
and, accordingly, no opinion will be expressed in our report on internal control issued pursuant to
Government Auditing Standards.
An audit is not designed to provide assurance on internal control or to identify significant deficiencies or
material weaknesses. Accordingly, we will express no such opinion. However, during the audit, we will
communicate to management and those charged with governance internal control related matters that are
required to be communicated under the American Institute of Certified Public Accountants (AICPA)
professional standards and Government Auditing Standards.

Audit Procedures — Compliance
As part of obtaining reasonable assurance about whether the financial statements are free of material
misstatement, we will perform tests of the Commission's compliance with the provisions of applicable laws,
regulations, contracts, agreements, and grants. However, the objective of our audit will not be to provide
an opinion on overall compliance and we will not express such an opinion in our report on compliance
issued pursuant to Government Auditing Standards.
Other Services
We will also assist in preparing the financial statements and related notes of the Commission in conformity
with U.S. generally accepted accounting principles based on information provided by you. These nonaudit
services do not constitute an audit under Government Auditing Standards and such services will not be
conducted in accordance with Government Auditing Standards. We will perform the services in accordance
with applicable professional standards. The other services are limited to the financial statement services
previously defined. We, in our sole professional judgment, reserve the right to refuse to perform any
procedure or take any action that could be construed as assuming management responsibilities.
Management Responsibilities
Management is responsible for designing, implementing, establishing, and maintaining effective internal
controls relevant to the preparation and fair presentation of financial statements that are free from material
misstatement, whether due to fraud or error, including evaluating and monitoring ongoing activities to help
ensure that appropriate goals and objectives are met; following laws and regulations; and ensuring that
management and financial information is reliable and properly reported. Management is also responsible
for implementing systems designed to achieve compliance with applicable laws, regulations, contracts, and
grant agreements. You are also responsible for the selection and application of accounting principles, for
the preparation and fair presentation of the financial statements and all accompanying information in
conformity with U.S. generally accepted accounting principles, and for compliance with applicable laws
and regulations and the provisions of contracts and grant agreements.
Management is also responsible for making all financial records and related information available to us and
for the accuracy and completeness of that information. You are also responsible for providing us with
(1) access to all information of which you are aware that is relevant to the preparation and fair presentation
of the financial statements, (2) additional information that we may request for the purpose of the audit, and
(3) unrestricted access to persons within the government from whom we determine it necessary to obtain
audit evidence.
Your responsibilities include adjusting the financial statements to correct material misstatements and for
confirming to us in the written representation letter that the effects of any uncorrected misstatements
aggregated by us during the current engagement and pertaining to the latest period presented are immaterial,
both individually and in the aggregate, to the financial statements taken as a whole.

You are responsible for the design and implementation of programs and controls to prevent and detect fraud,
and for informing us about all known or suspected fraud affecting the government involving
(1) management, (2) employees who have significant roles in internal control, and (3) others where the
fraud could have a material effect on the financial statements. Your responsibilities include informing us
of your knowledge of any allegations of fraud or suspected fraud affecting the government received in
communications from employees, former employees, grantors, regulators, or others. In addition, you are
responsible for identifying and ensuring that the government complies with applicable laws, regulations,
contracts, agreements, and grants and for taking timely and appropriate steps to remedy fraud and
noncompliance with provisions of laws, regulations, contracts or grant agreements, or abuse that we report.
You are responsible for the preparation of the supplementary information, which we have been engaged to
report on, in conformity with U.S. generally accepted accounting principles. You agree to include our report
on the supplementary information in any document that contains and indicates that we have reported on the
supplementary information. You also agree to include the audited financial statements with any presentation
of the supplementary information that includes our report thereon OR make the audited financial statements
readily available to users of the supplementary information no later than the date the supplementary
information is issued with our report thereon. Your responsibilities include acknowledging to us in the
written representation letter that (1) you are responsible for presentation of the supplementary information
in accordance with GAAP; (2) you believe the supplementary information, including its form and content,
is fairly presented in accordance with GAAP; (3) the methods of measurement or presentation have not
changed from those used in the prior period (or, if they have changed, the reasons for such changes); and
(4) you have disclosed to us any significant assumptions or interpretations underlying the measurement or
presentation of the supplementary information.
Management is responsible for establishing and maintaining a process for tracking the status of audit
findings and recommendations. Management is also responsible for identifying and providing report copies
of previous financial audits, attestation engagements, performance audits, or other studies related to the
objectives discussed in the Audit Objectives section of this letter. This responsibility includes relaying to
us corrective actions taken to address significant findings and recommendations resulting from those audits,
attestation engagements, performance audits, or other studies. You are also responsible for providing
management's views on our current findings, conclusions, and recommendations, as well as your planned
corrective actions, for the report, and for the timing and format for providing that information.
You agree to assume all management responsibilities relating to the financial statements and related notes
and any other nonaudit services we provide. You will be required to acknowledge in the management
representation letter our assistance with preparation of the financial statements and related notes and that
you have reviewed and approved the financial statements and related notes prior to their issuance and have
accepted responsibility for them. Further, you agree to oversee the nonaudit services by designating an
individual, preferably from senior management, with suitable skill, knowledge, or experience; evaluate the
adequacy and results of those services; and accept responsibility for them.
Engagement Administration, Fees, and Other
The assistance to be supplied by your personnel, including the preparation of schedules and analysis of
accounts, typing all cash or other confirmations we request, and locating any invoices selected by us for
testing, will be discussed and coordinated with you.
We will provide copies of our reports to the Commission; however, management is responsible for
distribution of the reports and the financial statements. Unless restricted by law or regulation, or containing
privileged and confidential information, copies of our reports are to be made available for public inspection.

The audit documentation for this engagement is the property of Malloy, Montague, Karnowski, Radosevich
& Co., P.A. (MMKR) and constitutes confidential information. However, subject to applicable laws and
regulations, audit documentation and appropriate individuals will be made available upon request and in a
timely manner to a regulatory agency or its designee, a federal agency providing direct or indirect funding,
or the U.S. Government Accountability Office for purposes of a quality review of the audit, to resolve audit
findings, or to carryout oversight responsibilities. We will notify you of any such request. If requested,
access to such audit documentation will be provided under the supervision of MMKR personnel.
Furthermore, upon request, we may provide copies of selected audit documentation to the aforementioned
parties. These parties may intend, or decide, to distribute the copies or information contained therein to
others, including other governmental agencies.
The audit documentation for this engagement will be retained for a minimum of five years after the report
release date or for any additional period requested by the regulatory agency. If we are aware that a federal
awarding agency or auditee is contesting an audit finding, we will contact the party(ies) contesting the audit
finding for guidance prior to destroying the audit documentation.
We expect to begin our audit shortly after the end of your fiscal year and to issue our reports prior to June 30,
2021. William J. Lauer, CPA, is the engagement partner and is responsible for supervising the engagement
and signing the reports or authorizing another individual to sign them.
Our fees for these services will be at our standard hourly rates plus out-of-pocket costs (such as report
reproduction, word processing, postage, travel, copies, telephone, etc.) except that we agree that our gross
fee, including expenses, will not exceed $10,250.Our standard hourly rates vary according to the degree of
responsibility involved and the experience level of the personnel assigned to your audit. Our invoices for
these fees will be rendered each month as work progresses and are payable on presentation.
The above fees are based on anticipated cooperation from your personnel and the assumption that
unexpected circumstances will not be encountered during the audit. If we find that additional audit
procedures are required, or if additional services are requested by the Commission, those services will be
billed at our standard hourly rates. Additional audit procedures might be required for certain accounting
issues or events, such as new contractual agreements, transactions and legal requirements of new bond
issues, new funds, major capital projects, new tax increment districts, if there is an indication of
misappropriation or misuse of public funds, or if significant difficulties are encountered due to the lack of
accounting records, incomplete records, or turnover in the Commission's staff. If significant additional time
is necessary, we will discuss it with you and arrive at a new fee estimate before we incur the additional
costs.
In accordance with our firm policies, work may be suspended if your account becomes 60 days or more
overdue and may not be resumed until your account is paid in full. If we elect to terminate our services for
nonpayment, our engagement will be deemed to have been completed upon written notification of
termination, even if we have not completed our report. You will be obligated to compensate us for all time
expended and to reimburse us for all out-of-pocket costs through the date of termination.
With regard to the electronic dissemination of audited financial statements, including financial statements
published electronically on your website, you understand that electronic sites are a means to distribute
information and, therefore, we are not required to read the information contained in these sites or to consider
the consistency of other information in the electronic site with the original document.

If you intend to publish or otherwise reproduce the financial statements, such as in a bond statement, and
make reference to our firm name, you agree to provide us with printers' proofs or masters for our review
and approval before printing. You also agree to provide us with a copy of the final reproduced material for
our approval before it is distributed.
During the year, you might request additional services such as routine advice, assistance in implementing
audit recommendations, review of your projections or budgets, and other similar projects. Independence
standards allow us to perform these routine services; however, it is important that you understand that we
are not allowed to make management decisions, perform management functions, nor can we audit our own
work or provide nonaudit services that are significant to the subject matter of the audit.
Please be aware that e-mail is not a secure method of transmitting data. It can be intercepted, read, and
possibly changed. Due to the large volume of a -mails sent daily, the likelihood of someone intercepting
your e-mail is relatively small, but it does exist. We will communicate with you via e-mail, if you are willing
to accept this risk.
To ensure that MMKR's independence is not impaired under the AICPA Code of Professional Conduct,
you agree to inform the engagement partner before entering into any substantive employment discussions
with any of our personnel.
If a dispute occurs related in any way to our services, our firm and the Commission agree to discuss the
dispute and, if necessary, to promptly mediate in a good faith effort to resolve it. We will agree on a mediator,
but if we cannot, either of us may apply to a court having personal jurisdiction over the parties for
appointment of a mediator. We will share the mediator's fees and expenses equally, but otherwise will bear
our own attorney fees and costs of the mediation. Participation in such mediation shall be a condition to
either of us initiating litigation. To allow time for the mediation, any applicable statute of limitations shall
be tolled for a period not to exceed 120 days from the date either of us first requests in writing to mediate
the dispute.
The mediation shall be confidential in all respects, as allowed or required by law, except that our final
settlement positions at mediation shall be admissible in litigation solely to determine the identity of the
prevailing party for purposes of the awarding of attorney fees.
We both recognize the importance of performing our obligations under this agreement in a timely way and
fully cooperating with the other. In the event that either of us fails to timely perform or fully cooperate, the
other party may, in its sole discretion, elect to suspend performance or terminate the agreement regardless
of the prejudice to the other person. We agree we will give 10 days' written notice of an intent to suspend
or terminate, specifying the grounds for our decision, and will give the other an opportunity to cure the
circumstances cited as grounds for that decision. In the event of suspension or termination, all fees and
costs are immediately due on billing.
We agree that it is important that disputes be discussed and resolved promptly. For that reason, we agree
that, notwithstanding any other statutes of limitations or court decisions concerning them, all claims either
of us may have will be barred unless brought within one year of the date the complaining party first incurs
any damage of any kind, whether discovered or not, related in any way to acts or omissions of the other
party, whether or not the complaining party seeks recovery for that first damage and whether or not we
have continued to maintain a business relationship after the first damage occurred. Notwithstanding
anything in this letter to the contrary, we agree that regardless of where the Commission is located, or where

We have reviewed the system of quality control for the accounting and auditing practice of
Malloy, Montague, Karnowski, Radosevich, and Co., P.A. (the firm) in effect for the year ended
May 31, 2019. Our peer review was conducted in accordance with the Standards for Performing
and Reporting on Peer Reviews established by the Peer Review Board of the American Institute
of Certified Public Accountants (Standards).
A summary of the nature, objectives, scope, limitations of, and the procedures performed in a
System Review as described in the Standards may be found at www.aicpa.orq/prsummary. The
summary also includes an explanation of how engagements identified as not performed or
reported in conformity with applicable professional standards, if any, are evaluated by a peer
reviewer to determine a peer review rating.
Firm's Responsibility
The firm is responsible for designing a system of quality control and complying with it to provide
the firm with reasonable assurance of performing and reporting in conformity with applicable
professional standards in all material respects. The firm is also responsible for evaluating
actions to promptly remediate engagements deemed as not performed or reported in conformity
with professional standards, when appropriate, and for remediating weaknesses in its system of
quality control, if any.
Peer Reviewer's Responsibility
Our responsibility is to express an opinion on the design of the system of quality control and the
firm's compliance therewith based on our review.
Required Selections and Considerations
Engagements selected for review included engagements performed under Government Auditing
Standards, including compliance audits under the Single Audit Act and an audit of an employee
benefit plan.
As part of our peer review, we considered reviews by regulatory entities as communicated by
the firm, if applicable, in determining the nature and extent of our procedures.
Opinion
In our opinion, the system of quality control for the accounting and auditing practice of Malloy,
Montague, Karnowski, Radosevich, and Co., P.A. in effect for the year ended May 31, 2019 has
been suitably designed and complied with to provide the firm with reasonable assurance of
performing and reporting in conformity with applicable professional standards in all material
respects. Firms can receive a rating of pass, pass with deficiency(ies) or fail. Malloy, Montague,
Karnowski, Radosevich, and Co., P.A. has received a peer review rating of pass.

1. Towers - Golden Valley
• Documents are being reviewed by legal prior to advertising for bids.
2. Pumps
3. Valves
• New Hope - valve replacement near 42nd & Louisiana. Approved by Commission.
Scope of work has increased. Bend is 8 feet from valve. Other bend may be 20 feet
from valve. Replace valve and both bends with ductile.
• Crystal —valve replacement around pump house was moved to spring of 2021 to
finalize scope of work and logistics.
4. SCADA
• Work with Total Control to add power failure alarms to towers and Tower Altitude
valve pits.
• North tower is done. GV tower still needs alarms.
5. Miscellaneous
A. Medicine Lake Tower Parts Storage
• NH working with various organizations to remove storage items from NH tower
to create room for JWC parts.
• Need to order more racking.
B. EPA Vulnerability Self -Assessment is complete. Staff will submit it with Emergency
Action Plan for approval.
C. Emergency Action Plan is being reviewed by TAC. Bring to the Commission for
approval. Communications will be handled by each city. Need to get a list of
emergency contractors and critical customers.
D. JWC Website — working with Communications to update website.
E. Fiber
• TAC agreed running fiber to all facilities is a long-term goal.
o Existing Fiber - both emergency wells in Crystal, GV Tower, North Tower, and
Crystal reservoir.
o Proposed Fiber— MLR Tower (2021), and GV reservoir (2022). Working with
LOGIS on cost.
