Adjournment REGULAR MEETING OF THE HOUSING AND REDEVELOPMENT AUTHORITY January 10, 2017 Pursuant to due call and notice thereof, a regular meeting of the Housing and Redevelopment Authority of the City of Golden Valley, Hennepin County, Minnesota, was held at 7800 Golden Valley Road in said City on January 10, 2017 at 6:30 pm. The following members were present: Commissioners Joanie Clausen, Shep Harris, Steve Schmidgall and Andy Snope. The following was absent: Commissioner Larry Fonnest. Also present were HRA Director Timothy Cruikshank and Administrative Assistant Judy Natly. Election of Officers The HRA Bylaws provide for the annual election of the HRA Chairperson and Vice Chairperson to serve a one year term. Chair Schmidgall opened the nominations. MOVED by Schmidgall, seconded by Clausen and motion carried to nominate Snope for the office of Chair. Snope accepted the nomination, assumed the Chair position and conducted the meeting. MOVED by Harris, seconded by Snope and motion carried to nominate Clausen for the office of Vice Chair. Clausen accepted the nomination for Vice Chair. Approval of Aqenda MOVED by Clausen, seconded by Harris and motion carried unanimously to approve the agenda as submitted. Approval of Minutes - Reqular Meetinq - October 13, 2016 MOVED by Schmidgall, seconded by Harris and motion carried unanimously to approve the Regular Housing and Redevelopment Authority minutes of October 13, 2016 as submitted. Approval of Bills MOVED by Schmidgall, seconded by Clausen and motion carried unanimously to approve the bills as submitted. Receipt of December 2016 Financial Reports MOVED by Schmidgall, seconded by Harris and motion carried unanimously to receive and file the December 2016 Financial Reports. Housing and Redevelopment Authority January 10, 2017 Page 2 Adoption of 2017 General Fund Budqet Commissioner Harris introduced the following resolution and moved its adoption: RESOLUTION 17-1 RESOLUTION OF THE HOUSING AND REDEVELOPMENT AUTHORITY (HRA) ADOPTING THE 2016 GENERAL FUND BUDGET The motion for the adoption of the foregoing resolution was seconded by Commissioner Schmidgall and upon a vote being taken thereon, the following voted in favor thereof: Clausen, Harris, Schmidgall and Snope and the following was absent: Fonnest, and the following voted against the same: none, whereupon said resolution was declared duly passed and adopted, signed by the Chair and his signature attested by the Director. Desiqnation of Depositories Commissioner Schmidgall introduced the following resolution and moved its adoption: RESOLUTION 17-2 RESOLUTION DESIGNATING DEPOSITORIES FOR HRA FUNDS The motion for the adoption of the foregoing resolution was seconded by Commissioner Clausen and upon a vote being taken thereon, the following voted in favor thereof: Clausen, Harris and Schmidgall; and the following was absent: Fonnest, and the following voted against the same: none, whereupon said resolution was declared duly passed and adopted, signed by the Chair and his signature attested by the Director. Authorization to Sign Amendment to Legal Services Agreement with Best & Flanagan Prepared By Tim Cruikshank, Director Summary The City Council has approved an amended agreement for legal services with the firm of Best & Flanagan. The Housing and Redevelopment Authority (HRA) is a separate legal entity, and has an existing amended agreement with Best & Flanagan, which parallels the previously amended City agreement with the firm. Staff recommends that the HRA enter into an amended agreement that parallels the new City agreement. This amendment would reduce the partner hourly rate to $175 per hour and extend the term of this agreement for a period of one additional year through December 31, 2018. The Legal Services Agreement between the HRA and Best & Flanagan LLP, amended by letter agreements dated August 13, 2015, and July 8, 2016, respectively ("Agreement"), is hereby further amended as follows: 1. The term of the Agreement is extended through December 31, 2018. 2. Section III. "Compensation and Expense Reimbursement" is amended by reducing the hourly rate for partner attorneys to $175 per hour, effective as of March 22, 2017. The hourly rate for associate attorneys remains $145 per hour and for paralegals remains $120 per hour. The "pass through" work rate also remains $350 per hour. These rates will remain in effect through December 31, 2018. All other terms of the Agreement remain the same and are ratified by the HRA and Best & Flanagan LLP.
